Perform proposals/SPA, conduct valuation/FDD, assess deal benefits, plan for integration and streamline deal closing
• Understand the deal intent, transaction structure and exit plan. Proper management of the process
• Obtain clarity of past performance and provide visibility of future performance from target of client
• Assess and validate the target business model. Manage risks and extract values
• Specialize in the valuation of tangible/intangible assets, cost segregation analyses, and predominant use studies
• Perform valuation engagements for financial reporting and federal tax purchase price allocations, goodwill impairment testing, mergers and acquisitions, property and sales tax, and other purposes
• To SEC compliance checklist, currently I am not in charge of SOX section 404 in ICFR of 10-K. But I still work on controls in Section 1000 of regulation S-K in term of risk factors of M&A
• Conduct the engagements based on AICPA standards including approach & methods of valuation
