第1条 目的

本利用規約は、弊社及び利用者間の本サービス利用に関する関係および会員間取引に関する会員間の関係を定めるものです。

第2条 定義

本利用規約において、以下の用語は以下の意味を有します。
(1)「弊社」ワークシフト・ソリューションズ株式会社をいいます。
(2)「本サイト」弊社が運営するインターネットサイト「ワークシフト」をいいます。
(3)「本サービス」本サイト上で弊社が提供するサービス(会員間取引における報酬支払事務を含むが、これらに限りません。)を総称していいます。
(4)「利用者」本サイトを利用する個人又は法人(会員を含みます。)をいいます。
(5)「会員」本利用規約第5条に基づき会員登録された利用者をいいます。
(6)「会員登録申請」本利用規約第5条2項または3項に基づき会員が弊社に対して行うクライアント又はフリーランスとしての会員登録申請をいいます。
(7)「会員登録情報」会員が弊社に登録している情報をいいます。
(8)「会員アカウント」会員が本サービスを利用するために設定される権限をいいます。
(9)「クライアント」会員間取引で仕事を依頼し、又は依頼しようとする会員をいいます。
(10)「フリーランス」会員間取引で仕事を引き受け、又は引き受けようとする会員をいいます。
(11)「チーム」本利用規約第8条に基づき組成される1名以上のフリーランスの集合体をいいます。
(12)「チームメンバー」チームリーダー以外のチームを構成するフリーランスをいいます。
(13)「チームリーダー」チームの組成行為を行い、チームメンバーへの受注金額配分の提案やクライアントの交渉・調整を行うなどチームを管理するフリーランスをいいます。
(14)「仕事」会員間取引において委託される個々の具体的な業務をいいます。
(15)「仕事依頼」クライアントからフリーランスに対してなされる、仕事の業務委託取引の申込みをいいます。
(16)「会員間取引」本サービスを利用して会員間で行われる仕事の業務委託取引をいい、プロジェクト方式取引およびコンペ方式取引を総称していいます。
(17)「会員間契約」会員間取引に関して締結される会員間の契約をいいます。
(18)「プロジェクト方式取引」本利用規約第9条に規定される会員間取引をいいます。
(18の2)「ワークシフトビジネス」本利用規約第10条の2に規定されるプロジェクト方式取引に付随して弊社がクライアントに提供するサービスをいいます。
(19)「コンペ方式取引」本利用規約第11条に規定される会員間取引をいいます。
(20)「オプション」本利用規約第12条に規定される仕事依頼のオプションをいいます。
(21)「報酬」クライアントからフリーランスに対して支払われる仕事の対価をいい、プロジェクト方式取引についてはプロジェクト契約金、コンペ方式取引についてはコンペ契約金および参加報奨金をいいます。
(22)「プロジェクト契約金」プロジェクト方式取引について、採用されたフリーランスに対して支払われる報酬をいいます。
(23)「コンペ契約金」コンペ方式取引において、採用した提案に対して支払われる報酬をいいます。
(24)「参加報奨金」コンペ方式取引において、当選しなかった提案でクライアントが選定した提案に対して支払われる報酬をいいます。
(25)「システム利用料」フリーランスに対する支払(プロジェクト契約金、コンペ契約金、参加報奨金、違約金を含みますが、これに限らず一切の支払をいいます。)がなされる際に弊社に支払う手数料をいい、以下の料率によって計算されます。
① 支払額のうち、金50,000円以下の部分に対し、20%
② 支払額のうち、金50,000円超の部分に対し、10%
(26)「オプション料金」第12条に規定されるオプション料金をいいます。
(27)「指定決済方法」仮払金を支払うべき方法として弊社がクライアントに対して指定する決済方法で、弊社の指定する銀行口座への振り込み、弊社の指定するクレジットカードによる決済、及びペイパル(PayPal Pte. Ltd.及び日本PayPal株式会社の提供する決済サービス)による決済をいいます。
(28)「仮払金」報酬及びオプション料金の支払原資として、クライアントが弊社に対して仮払いする金員をいいます。
(29)「報酬等支払手続」本利用規約第14条に定める手続きをいいます。
(30)「残高」弊社が会員に対して行うべき支払(プロジェクト契約金、コンペ契約金、参加報奨金、違約金を含みますが、これに限らず一切の支払をいいます。)のうち、未払いのものをいいます。
(31)「銀行営業日」指定決済方法において用いられる金融機関口座その他本サービスに関して利用される金融機関口座の存在する金融機関の営業日をいいます。

第3条 本利用規約

1 利用者は、本利用規約の内容を十分理解した上で本サイトを利用することを要し、本サイトを利用することにより本利用規約に従うことに同意したものとみなされます。
2 本利用規約は、利用者による本サイトの全ての利用に適用されます。
3 本利用規約は、弊社と会員間で特段の合意のない限り、弊社及び会員間の本サービス利用に適用されます。
4 本利用規約は、会員間の会員間取引に適用されます。
5 本利用規約は、弊社の判断により、事前の予告なく変更・追加・削除されることがあります。本利用規約の変更・追加・削除は、弊社が本サイト上に本利用規約の変更・追加・削除を掲示した時点で効力を発するものとします。利用者は、本利用規約の変更・追加・削除後に本サイトを利用した時点で、本利用規約の変更・追加・削除に承諾したものとみなされます。弊社は、本利用規約の内容の変更により発生した結果について、利用者に対して一切の責任を負いません。

第4条 本サイト

1 弊社は、インターネットサイトとしての本サイトを運営し、利用者の利用を許諾します。利用者は、本サイトを、利用規約に基づき第6条の本サービスに利用することができるほか、弊社が適正な利用と認める範囲で、クライアントによる求人情報の本サイトへの広告掲載及び本サイト上のメッセージ機能を用いた個別の通知をすることに利用することができます。
2 弊社は、利用者が本サイトを適正に利用しているか否かついて、弊社の裁量で適宜の方法で監視するものとし、利用者はそれに同意します。
3 本サイト及び本サイトにおいて弊社が提供する画像、テキスト、プログラム等に関する一切の所有権、知的財産権その他の権利は、全て弊社に帰属します。前項の利用者に対する利用の許諾は、上記の権利の利用許諾を意味しません。
4 利用者が本サイト上で作成、登録、提供、掲載した一切の画像、テキスト、プログラム等については、利用者は、弊社に対し、本サービスの広告宣伝のために必要と判断する利用目的で無償で永続的に使用できる利用権を付与し、これについて著作者人格権その他の自己の有する一切の権利を以後行使しないことを確約するものとします。
5 利用者は、本サイトにアクセスし、利用し、ブラウジングし、又は文書、イメージ、画像、音声など(フリーランス又はクライアントが提供する添付ファイルを含みますが、これに限られません。)をダウンロードすることを、自己の責任と判断に基づき行うものとします。弊社は、本サイト上に利用者が提供する上記の文書等において、一般的な安全策を講じていますが、その文書の安全性について何ら保証するものではありません。かかる行為により、利用者のコンピュータ機器又はソフトウェアがウイルスに感染するなどの理由により損なわれても、それにより利用者が被った不利益・損害について、弊社は一切責任を負いません。
6 本サイトは、弊社の判断により、事前の予告なく変更・追加・削除されることがあります。本サイトの変更・追加・削除は、弊社が本サイト上に本サイトの変更・追加・削除を掲示した時点で効力を発するものとします。利用者は、本サイトの変更・追加・削除後に本サイトを利用した時点で、本利用規約の変更・追加・削除に承諾したものとみなされます。弊社は、本サイトの内容の変更により発生した結果について、利用者に対して一切の責任を負いません。
7 利用者が、本サービス以外の用途に本サイトを利用した場合、弊社は当該利用に基づく結果について一切の関与をせず、利用者に対して一切の責任を負いません。

第5条 会員

1 本条に基づき会員登録申請を行い、弊社の審査を経て会員登録された利用者を、会員とします。
2 クライアントとして会員となろうとする利用者は、本サイト上の所定のクライアント登録フォームにより、所定の会員登録情報を入力して、会員登録申請をするものとします。既にフリーランスとして会員登録され又は会員登録申請をしている利用者も、クライアントとして会員登録申請することができます。
3 フリーランスとして会員となろうとする利用者は、本サイト上の所定のフリーランス登録フォームにより、所定の会員登録情報を入力して、会員登録申請をするものとします。既にクライアントとして会員登録され又は会員登録申請をしている利用者も、フリーランスとして会員登録申請することができます。
4 前2項の会員登録申請は、会員となろうとする利用者(法人の場合は対外的な代表権限を有する者又はその者より適法な委任を受けた者)以外が行うことはできません。会員となろうとする利用者は、会員登録情報として、会員登録申請時および会員登録申請後において、真実、正確かつ最新の情報を登録しなければなりません。当社は、会員の登録情報の正確性について、当該会員又は他の会員その他一切の者に対して、一切の責任を負いません。
5 弊社は、会員登録申請に対し所定の審査を行い、会員登録申請に従いクライアント又はフリーランスとしての会員登録の可否を決定し、可とされたものについて会員登録を行います。弊社が会員登録を行った利用者が、会員となります。弊社は、会員登録の可否にかかわらず、審査の内容について明らかにしません。弊社は、会員となろうとする者が会員登録で否とされたことよる結果について、会員登録申請を行った者に対して一切の責任を負いません。
6 会員が、弊社役職員と対面しての名刺交換などの方法によってその実在性が確認済みの場合,弊社は,その裁量により,当該会員が本サイト上で表示される場合に,「ワークシフト・ソリューションズ株式会社確認済み」等の表示を付記することができるものとします。
7 フリーランスとしての会員は、任意に、本人確認書類を登録することができます。会員は、本人確認書類を弊社に提出する場合は、真正に作成され内容に虚偽がないものを提出する義務を負います。会員が本人確認書類を弊社に提出し、弊社がこれを弊社内部で会員登録情報と照合し、本人確認書類と認めることのできる書類であると認めた場合、弊社は当該会員を「本人確認書類提出済み」として扱い、当該会員は「本人確認書類提出済み」を条件とする仕事依頼に提案することができます。弊社は、本人確認書類をクライアントに提示することはありません。また、弊社は、本人確認書類の偽造・変造の有無及び内容の真偽について、一切の保証を行うものではありません。
8 会員となるには、以下の条件を充たすことが必要です。
①満18歳以上であること。
②法的行為を行うことに法令上の制限がある場合には、本サイトの利用について適法・有効に行為をするために必要な許可・承認等の権限を有する者から、包括的な許可・承認等を得ていること。
③電子メールアドレスを保有していること。
④フリーランスとして会員となる場合は、既に重ねてフリーランスとして会員となっていないこと。クライアントとして会員となる場合は、既に重ねてクライアントとして会員となっていないこと。
⑤本利用規約の全ての条項に同意していること。
⑥第21条に定める反社会的勢力との関係を有しないこと。
9 会員は、会員アカウントを付与され、当該会員アカウントを利用するためのID及びパスワードを付与され、会員アカウントを通じて本サービスを利用し、登録に従ってクライアント又はフリーランスとして会員間取引を行うことができます。会員は、ID及びパスワードを、紛失し又は盗用されないように自己の責任において管理しなければなりません。弊社及び他の会員は、ID及びパスワードをもって会員アカウントを利用して行動する者を、その会員アカウントの保有者本人である会員とみなして行為することができ、これによって発生した結果について、当該会員に対して一切の責任を負いません。
10 会員は、本利用規約及び会員間契約、並びに自己に適用される知的財産権法、独占禁止法、下請法、労働法、入国管理法、税法その他の関連法令を遵守する義務を負います。会員に、上記の遵守義務の違反があった場合は、弊社は当該会員の本サービスの利用停止及び本サイトの利用停止(当該会員のクライアント若しくはフリーランスとしての登録情報のサイトへの表示の停止若しくは仕事依頼若しくは仕事提案の表示のサイトへの停止,及び会員アカウントへのログインの停止を含みますが,これらに限られません。)をすることができ、これによって発生した結果について、当該会員に対して一切の責任を負いません。
11 会員は、本利用規約に基づく自己の権利義務又は契約上の地位の一部又は全部を、第三者に譲渡し、担保に付し、その他の方法で処分してはなりません。
12 会員が以下の事由に該当すると弊社が合理的に判断した場合、弊社は、当該会員の会員登録を抹消することができます。会員の会員登録が抹消された場合、弊社は、当該登録抹消により発生した結果について、登録を抹消された会員に対して一切の責任を負いません。
①会員の条件を満たさなくなった場合又は満たさないことが明らかになった場合。
②会員登録情報に虚偽情報があることが判明した場合。
③会員が弊社からの電子メールを受領できない場合。
④会員が本利用規約に違反する行為を行った場合。
⑤その他弊社が当該会員の登録を維持することが不適切であると判断した場合。
13 会員は、本サイト上の所定のページより退会手続きをとることにより、退会することができます。但し、会員が当事者として進行している途中の会員間取引(業務が終了していない場合のほか、報酬の決済が未了の場合を含む)が存在する場合は、退会することができません。会員が退会した場合でも、会員は本利用規約及び会員間契約上の義務を免れません。会員が、弊社が会員に対して行うべき残高について、支払手続による払出指示を行わずに退会した場合、会員は当該残高に関する弊社に対する請求権の一切を放棄したものとみなされます。

第6条 本サービスの通則

1 弊社は、会員に対し、本サイト上で、本サービスを提供します。本サービスの内容は、主に以下のとおりとし、その他は本サイト上で提示されるものとします。
①会員間契約の締結に関する情報プラットフォームの提供
②会員間取引におけるクライアントからフリーランスへの支払の報酬支払事務
③ワークシフトビジネス
2 弊社は、会員が本サービスを適正に利用しているか否かついて、弊社の裁量で適宜の方法で監視するものとし、会員はそれに同意します。
3 会員は、弊社に対し、本サービスの対価として、本利用規約に定めるシステム利用料、オプション料金、およびその他弊社が定める本サービス利用料を支払う義務を負います。
4 本サービスにあたって基準となる時刻は、全て弊社のサーバ内で管理され本サイトに表示されている時刻(日本時刻以外の時刻で表示されている場合は、日本時刻換算の時刻)を基準時刻として行うものとします。
5 本サービスに関する期間計算は、前項の基準時刻に従った暦日によるものとし、期間の初日は算入せず、翌日を第1日として計算します。ただし、期間が午前零時から始まるときは、期間の初日を第1日として計算します。
6 本サービスに用いられる為替レートは、弊社が決済に利用する銀行が、決済時に適用する為替レートとします。
7 本サービスは、弊社の判断により、事前の予告なく変更・追加・停止されることがあります。本サービスの変更・追加・停止は、弊社が本サイト上に本サービスの変更・追加・停止を掲示した時点で効力を発するものとします。会員は、本サービスの変更・追加・停止後に本サイトを利用した時点で、本利用規約の変更・追加・停止に承諾したものとみなされます。弊社は、本サービスの内容の変更・追加・停止により発生した結果について、会員に対して一切の責任を負いません。

第7条 会員間取引及び会員間契約の通則

1 会員は、本サービスにより、自己をクライアントとし他の会員をフリーランスとして、又は自己をフリーランスとし他の会員をクライアントとして、プロジェクト方式取引およびコンペ方式取引による仕事の業務委託取引である会員間取引を行うことができます。
2 会員間契約は、会員を当事者とする契約であり、弊社はいかなる意味でもその当事者とはなりません。会員間契約の法的拘束力は会員間契約の当事者たる会員のみを拘束し、弊社にはその法的拘束力は及びません。弊社は、会員間取引における業務遂行やその成果物について内容、品質、正確性、適法性などについて一切の確認および保証を行わず、会員間取引におけるフリーランスの債務不履行責任、又はフリーランスが提供した仕事の成果物に関する瑕疵担保責任、その他会員間取引に関して発生する一切の結果について、責任を負いません。
3 会員間契約は、業務委託契約です。会員間契約は、いかなる意味でも雇用関係又は派遣関係とみなされるものであってはならず、クライアントは、フリーランスに対して、業務内容及び具体的な遂行方法について労働者として指揮命令を行い又は監督をすることができません。会員間で会員間契約を雇用関係又は派遣関係とみなす約束があっても、弊社はそれを承認せず、かかる約束について発生する一切の結果について責任を負いません。
4 会員間取引の条件は、本利用規約及び会員間契約に定めがあればそれにより、定めがなければ民法その他の適用法令の定めに従います。
5 会員間契約においては、当該会員間契約の当事者間の合意により、本利用規約と異なる特約を定めることができます。但し、弊社はかかる特約の存在、内容、有効性について一切関知せず、かかる特約に関して発生する一切の結果について責任を負いません。
6 会員間契約の内容は、いったん成立したら原則として変更することができません。会員が個々に合意をして変更した場合、その変更は会員を拘束し、弊社を拘束せず、弊社は当初成立した会員間契約の内容に基づき報酬支払事務などの義務を遂行すればその義務を免れます。弊社は、かかる変更の存在、内容、有効性について一切関知せず、かかる変更に関して発生する一切の結果について責任を負いません。
7 会員間取引にあたって基準となる時刻は、全て弊社のサーバ内で管理され本サイトに表示されている時刻を基準時刻として行うものとします。
8 会員間取引に関する期間計算は、前項の基準時刻に従った暦日によるものとし、期間の初日は算入せず、翌日を第1日として計算します。ただし、期間が午前零時から始まるときは、期間の初日を第1日として計算します。
9 会員間取引にかかる報酬等の授受に関する一切の税金(消費税の付加の有無、源泉所得税の徴収の有無などを含みますが、これに限られません。)は、すべて会員間によって直接処理するものとします。弊社は、かかる税金の処理について一切関知せず、かかる税金の処理に関して発生する一切の結果について責任を負いません。
10 会員間取引の仕事の成果物(コンペ方式取引により採用されなかった仕事の成果物を除く。以下本条において同じ)に関する権利(所有権、知的財産権(知的財産権を受ける権利、著作権法第27条及び第28条の権利を含む))は、クライアントからフリーランスへの報酬の支払と同時に、フリーランスからクライアントへ譲渡されるものとします。また、フリーランスは、クライアントからフリーランスへの報酬の支払と同時に、仕事の成果物に関する著作者人格権その他の自己の有する一切の権利を以後行使しないことを確約するものとします。
11 クライアント及びフリーランスは、会員間取引の仕事の成果物について、弊社が本サイト上で本サービスの紹介を行う目的で、本サイト上に表示することを、弊社に対し許諾します。
12 コンペ方式取引により採用されなかった仕事の成果物に関する権利(所有権、知的財産権(知的財産権を受ける権利、著作権法第27条及び第28条の権利を含む))は、採用されなかったことが確定した時点で、フリーランスから弊社へ譲渡されるものとし、フリーランスはかかる仕事の成果物に関する著作者人格権その他の自己の有する一切の権利を以後行使しないことを確約するものとします。
13 弊社は、クライアント及びフリーランスからの委託により、会員間取引における報酬支払事務受託者の地位のみを有します。弊社とクライアントの間の報酬支払事務委託契約が成立した場合、当該契約に基づき弊社はクライアントに対して有する仮払金支払請求権を有します。また、フリーランスと弊社との間の報酬支払事務委託契約が成立し会員間取引に基づく報酬が発生した場合、フリーランスは弊社に対して仮払金返還請求権を有します。弊社とクライアント、及び弊社とフリーランスとの間には、別段の合意のない限り、上記の仮払金支払請求権及び仮払金返還請求権並びにシステム利用料の他には、債権債務関係は発生しないものとします。
14 会員間取引におけるクライアントからフリーランスへの支払を、クライアントがクレジットカードを利用して決済する場合、弊社が、クレジットカード会社の加盟店として、クライアントからの収納を行います。この場合、クレジットカードの決済対象となる請求権は、弊社とクライアントの間の報酬支払事務委託契約に基づいて弊社がクライアントに対して有する仮払金支払請求権であり、フリーランスとクライアントとの会員間取引における報酬請求権そのものではありません。
15 会員は、会員間契約に基づく自己の権利義務又は契約上の地位の一部又は全部を、第三者に譲渡し、担保に付し、その他の方法で処分してはなりません。

第8条 チーム

1 フリーランスは、チームを組成して、会員間取引を行うことができます。
2 チームを組成しようとするフリーランスは、チームリーダーとして、本サイト上の所定のフォームにより、チームを組成することができます。チームリーダーとして組成できるチームは、1人のフリーランスにつき1チームに限ります。
3 フリーランスは、チームに参加することを要請することができます。チームへの参加要請を受けたチームリーダーは、参加要請を承認して当該フリーランスをチームに加入させチームメンバーとすることができます。
4 チームリーダーは、他のフリーランス及びその他の者(利用者でない者を含みます)をチームに招待することができます。招待された者は、フリーランスとして会員登録されていることを条件として、前項に従ってチームに参加することを要請することができます。
5 チームリーダーは、いつでも自由にチームメンバーを除名することができます。但し、チームメンバーの除名は、当該チームメンバーについてチームを通じて成立した会員間取引に影響を及ぼしません。
6 チームリーダーに対し、チームメンバー、会員間取引のいずれかの当事者又は弊社が、本サービスにおける通常の連絡手段を用いて連絡したにもかかわらず、1週間以上連絡がとれない状態が継続した場合、弊社は、チームリーダーの権限を停止し、チームメンバーの1名に対してチームリーダーの権限を付与することができます。チームリーダーの権限を付与されたチームメンバーの権限及び義務については、本利用規約のチームリーダーに適用される条項が適用されます。

第9条 プロジェクト方式取引

1 プロジェクト方式取引とは、会員間取引のうち、クライアントの仕事依頼に対し、フリーランスが提案し、クライアント及びフリーランスの協議で仕事内容が確定し業務委託契約が成立してから、当該フリーランスが業務を行う取引をいいます。
2 プロジェクト方式取引を行おうとするクライアントは、フリーランスに依頼しようとする仕事(以下本条において「当該仕事」といいます。)について、本サイト上の所定の仕事依頼フォームにより、当該仕事のカテゴリを選択し、プロジェクト方式取引による仕事依頼をすることを明示し、当該仕事の依頼タイトル、内容、掲載期間(1〜7日後、14日後、21日後、その他より選択)、オプションの有無、プロジェクト契約金の予算の額など所定の事項を記載して、弊社に対し発注依頼を行います。
3 前項の発注依頼にオプションが付加されていない場合、発注依頼の内容に本利用規約の違反がある場合を除き、本サイト上においてフリーランスに向けて当該仕事の依頼を公開します。
4 前項の発注依頼にオプションが付加されている場合、弊社は、クライアントに対して、当該オプション料金の合計額および指定決済方法の通知をします。クライアントは、前記指定決済方法の通知を受けた場合、弊社に対し、当該オプション料金の合計額を、指定決済方法のいずれかにより支払わなければなりません。仮払いにかかる振込手数料は、クライアントの負担とします。弊社は、オプション料金の入金を確認した場合、発注依頼の内容に本利用規約の違反がある場合を除き、オプション料金を領収し、本サイト上においてフリーランスに向けて当該仕事の依頼を公開します。オプション料金の入金が10日間無い場合、当該仕事の依頼は自動キャンセルとなります。
5 前2項のかかる仕事依頼の公開をもって、クライアントと弊社との間で、当該仕事にかかる会員間契約の成立を条件として、当該仕事にかかる会員間取引の報酬支払事務委託の契約が締結されたものとします。
6 当該仕事を受けようとするフリーランスは、掲載期間中に、本サイト上の所定の仕事提案フォームにより、成果物の内容、プロジェクト契約金の額、納品予定日を指定して当該仕事に対して提案します。かかる提案をもって、フリーランスと弊社との間で、当該仕事にかかる会員間契約の成立を条件として、当該仕事にかかる会員間取引の報酬支払事務委託の契約が締結されたものとします。フリーランスは、掲載期間中は、本サイト上の所定の仕事提案フォームにより、提案した成果物の内容、プロジェクト契約金の額、納品予定日を変更することができます。
7 クライアントは、当該仕事の依頼が公開されたあと、本サイト上のメッセージ機能を用いて、特定のフリーランスと、成果物の条件、納品予定日、プロジェクト契約金の額など仕事の内容の協議を行うことができます。また、クライアントは、当該仕事の依頼が公開されたあと、本サイト上のメッセージ機能を用いて、特定のフリーランスに対し、当該仕事に対する提案の勧誘を行うことができます。
8 クライアントは、掲載期間中いつでも、当該仕事の仕事依頼をキャンセルすることができます。また、掲載期間を経過しても当該仕事に対するフリーランスからの提案が1件もなされなかった場合、当該仕事の仕事依頼は自動的にキャンセルされます。仕事依頼がキャンセルされた場合、当該仕事の公開は打ち切られます。
9 当該仕事に対するフリーランスからの提案が掲載期間までに1件以上なされた場合で、クライアントが提案を採用するときは、クライアントは、掲載期間終了後14日以内に、本サイト上の所定のフォームにより、採用する提案を選択して採用の意思決定をしなければなりません。提案の採用があった場合、弊社は、当該仕事の依頼の公開を打ち切り、クライアントに対して当該仕事に関する仮払いの指定決済方法の通知をします。
10 掲載期間終了後14日以内に、クライアントが提案を採用しなかった場合、全ての提案を採用しない旨の意思決定をしたものとみなされ、当該仕事の仕事依頼は自動的にキャンセルされます。
11 クライアントは、指定決済方法の通知を受けた場合、弊社に対し、当該仕事にかかるプロジェクト契約金の全額を、仮払金(以下本条において「仮払金」といいます。)として、指定決済方法のいずれかにより、仮払いしなければなりません。仮払いにかかる振込手数料は、クライアントの負担とします。仮払金には利息は付されません。弊社は、別途検収合格の通知またはクライアントおよびフリーランスの双方から合意により会員間契約を解約した旨の通知を受領するまで、仮払金の決済を行いません。
12 弊社は、仮払金を受領した場合、採用されたフリーランスに対し、仮払金を受領した旨を通知します。かかる仮払いをもって、採用されたフリーランスとクライアントの間に、クライアントとフリーランスとの間で協議し合意した内容に基づく、当該仕事にかかる会員間契約が締結されたものとみなされます。
13 クライアントが提案を採用したにもかかわらず採用後10日以内に当該仕事にかかる仮払いを行わなかった場合、当該仕事の仕事依頼は自動的にキャンセルされます。この場合、クライアントはフリーランスの評価を行うことができません。
14 フリーランスは、弊社から仮払金を受領した旨の通知を受けた場合、会員間契約に定める内容の仕事の成果物を、会員間契約に定めに従い納品予定日までに納品しなければなりません。フリーランスが納品予定日後7日以内に納品を行わなかった場合、当該仕事の会員間規約は自動的に解約され、弊社は、弊社は仮払いされたプロジェクト契約金をクライアントに対して返還します。この場合、フリーランスはクライアントの評価を行うことができません。本項により会員間契約が解約された場合、クライアントがフリーランスに個別に損害賠償をすることは妨げられません。
15 クライアントは、フリーランスより仕事の成果物を納品された場合、これを納品された日の10日後の日(以下「検収期限」といいます。)までに検収し、その合格・不合格をフリーランスへ通知しなければなりません。かかる通知は、検収期限までに、本サイト上の所定のフォームにより検収の合格・不合格の通知をすることによって行われます。
16 フリーランスの仕事成果物が検収に合格した場合、クライアントは、フリーランスに対して、会員間契約に定める報酬を支払わなければなりません。その支払は、当該仕事に関する仮払金からなされます。支払は、報酬等支払手続によりなされます。
17 フリーランスは、仕事成果物が検収に合格しクライアントから報酬が支払われる場合、弊社に対し、システム利用料を支払わなければなりません。その支払は、会員間契約に基づいてクライアントからフリーランスに支払われる報酬から、弊社がシステム利用料を差し引いて受領し、残額をフリーランスに支払う方法でなされます。
18 フリーランスの仕事成果物が検収に不合格となり再検討の通知がなされた場合、納品予定日は、当該通知の日から7日後に自動的に変更され、フリーランスは変更後の納品予定日までに、新たな仕事成果物を提供しなければなりません。かかる納品については、本条第14項以降が適用されます。
19 クライアントが検収期限までに検収の合格・不合格の通知を行わなかった場合、弊社は、クライアントに対し、検収期限後3日毎に通知し、検収の合格・不合格の通知をするよう催促します。3回の催促がなされてもクライアントが検収の合格・不合格の通知をしなかった場合、検収期限後10日目(この日が銀行営業日でない日にあたる場合は翌銀行営業日)に、その成果物は検収に合格したものとみなされます。
20 クライアントおよびフリーランスは、検収が終了するまで、双方の合意により会員間契約を解約することができます。この場合、弊社は仮払金のうちプロジェクト契約金をクライアントに対して返還します。かかる返還は、キャンセルされた日を事象の発生日として、報酬等支払手続に基づき行われます。返還にかかる振込手数料は、クライアントの負担とします。本項により会員間契約が解約された場合、クライアント又はフリーランスが相手方に個別に損害賠償をすることは妨げられません。
21 検収が終了するまでの間に、クライアント又はフリーランスが、本サービスにおける通常の連絡手段を用いて連絡したにもかかわらず、1週間以上連絡がとれない状態が継続した場合、弊社は、弊社の判断により、会員間契約が解約されたものとみなすことができ、クライアント及びフリーランスはこれを了承するものとします。本項により会員間契約が解約された場合、弊社は仮払いされたプロジェクト契約金をクライアントに対して返還します。本項により会員間契約が解約された場合、クライアントがフリーランスに個別に損害賠償をすることは妨げられません。
22 会員間取引が終了した場合、クライアントおよびフリーランスは、本サイト上の所定のフォームによって、当該会員間取引について所定の方法による相手方の評価を行わなければなりません。クライアントおよびフリーランスは、本サイト上の所定のページにおいて、相手方による上記評価が公開されることを了承します。

第10条 チームによるプロジェクト方式取引の特則

1 フリーランスは、チームを通じてプロジェクト方式取引を行うことができます。チームを通じてプロジェクト方式取引を行う場合も、本サービスは個々のフリーランスの間で行われ、また会員間取引はクライアントと個々のフリーランスの間で行われますが、手続きの特則として本条が適用されます。
2 チームを通じてプロジェクト方式取引を行う場合の提案は、チームリーダーを通じてのみすることができます。チームリーダーは、チームを通じてプロジェクト方式取引を行おうとする場合、提案しようとする仕事依頼を受託すべきチームメンバー(かかるチームメンバーとチームリーダーを総称して、以下「受託メンバー」といいます。)をチームメンバー全体の中から選定し、受注した場合の各受託メンバーに対するプロジェクト契約金額の配分を決定して、受託メンバーに対して提案します。全ての受託メンバーがかかる提案に応諾した場合、チームリーダーはチームとして仕事依頼に提案することができます。かかる提案により、各受託メンバー及び弊社との間で、当該仕事にかかる会員間契約の成立を条件として、当該仕事にかかる会員間取引の報酬支払事務委託の契約が締結されたものとします。
3 クライアントがチームの提案を採用し仮払いをした場合、クライアントと各受託メンバーとの間で、協議で合意した内容に基づく、当該仕事にかかる会員間契約が締結されたものとみなされます。
4 チームを通じてプロジェクト方式取引を行う場合の納品は、チームリーダーを通じてのみすることができます。受託メンバーは、仕事成果物をチームリーダーに提出し、チームリーダーがまとめてクライアントに納品しなければなりません。受託メンバーが仕事成果物をチームリーダーに提出したにもかかわらずチームリーダーがクライアントに納品しなかった場合、クライアントおよび弊社は納品があったとは認めません。この場合、受託メンバーがチームリーダーに個別に損害賠償をすることは妨げられません。
5 クライアントからの配分後のプロジェクト契約金の支払いは、各受託メンバーに対して直接行われます。また弊社へのシステム利用料の支払は、各受託メンバーが直接しなければなりません。各受託メンバーの支払うべきシステム利用料は、各受託メンバーの受領する配分後のプロジェクト契約金額を基準として算出されます。
6 提案のキャンセル、若しくは会員間契約の解約の意思表示又はその受領は、チームリーダーのみがすることができます。

第10条の2 ワークシフトビジネス

1 ワークシフトビジネスは、プロジェクト方式取引に付随して弊社がクライアントに提供するサービスをいいます。その内容は、主に以下のとおりとし、その他は本サイト上で提示されるものとします。
①適任と思われるフリーランスの紹介
②業務遂行に関わるコンサルティングの提供
③アカウント作成や業務管理に関わる利用代行サービス
2 ワークシフトビジネスを利用しようとするクライアントは、プロジェクト方式取引の仕事依頼の際に、本サイト上の所定のフォームによりワークシフトビジネスを選択することで、弊社に対して当該プロジェクト方式取引(以下本条において「対象取引」といいます。)にかかるワークシフトビジネス(以下本条において「対象サービス」といいます。)の利用申込みを行います。
3 前項の利用申込があった場合、クライアントと弊社の間で、対象サービスの業務内容並びに報酬の確認を行い、これらを合意し、かかる合意により、クライアントと弊社間で対象サービスの業務委託契約が成立し、弊社はクライアントに対する対象サービスの提供を開始します。業務内容並びに報酬でクライアントと弊社が合意に至らない場合は、前項の利用申込みにかかわらず弊社はクライアントに対してワークシフトビジネスを提供する義務を負いません。
4 前項により合意された対象サービスの報酬は、対象取引においてクライアントが第9条9項によるフリーランスからの提案の採用を行った時点で、本サイト上の表示によりクライアントに通知されます。クライアントは、指定決済方法の通知を受けた場合、弊社に対して、通知された対象サービスの報酬を、指定決済方法のいずれかにより、仮払いしなければなりません。仮払いにかかる振込手数料は、クライアントの負担とします。弊社は、第5項に定める支払義務の確定または第6項に定める解約まで、仮払金の決済を行いません。仮払金には利息は付されません。
5 クライアントは、以下の場合に、弊社に対して対象サービスの報酬を支払う義務を確定的に負うものとします。
①対象サービスにより紹介されたフリーランスと対象取引を行ったこと
②対象取引における成果物が検収に合格したこと(第9条19項により検収に合格したとみなされた場合を含む)
対象サービスの報酬の支払義務が確定した場合、当社は、本条4項の仮払金より、報酬等支払手続きに基づいて、対象サービスの報酬を受領します。
6 クライアントおよび弊社は、検収が終了するまで、双方の合意により、対象サービスの業務委託契約を解約することができます。この場合、弊社は、第4項で対象サービスの報酬として仮払いされた仮払金を、クライアントに対して返還します。かかる返還は、解約された日を事象の発生日として、報酬等支払手続に基づいて行われます。返還にかかる振込手数料は、クライアントの負担とします。

第11条 コンペ方式取引

1 コンペ方式取引とは、会員間取引のうち、クライアントの仕事依頼に対し、複数のフリーランスが仕事成果物を提案し、クライアントが1件の仕事成果物を採用し、これを提示した1名のフリーランスとの間に業務委託契約が成立する取引をいいます。
2 コンペ方式取引を行おうとするクライアントは、フリーランスに依頼しようとする仕事(以下本条において「当該仕事」といいます。)について、本サイト上の所定の仕事依頼フォームにより、当該仕事のカテゴリを選択し、コンペ方式取引による仕事依頼をすることを明示し、当該仕事の依頼タイトル、内容、締切日(1〜7日後、14日後、21日後、その他より選択)、オプションの有無、コンペ契約金の額(最低額を100円とします。)、参加報奨金の総額(最低額を100円とします。)など所定の事項を記載して、弊社に対し発注依頼を行います。弊社は、発注依頼を受けた場合、発注依頼の内容に本利用規約の違反がある場合を除き、クライアントに対し、指定決済方法を通知します。かかる発注依頼をもって、クライアントと弊社との間で、当該仕事にかかる会員間契約の成立を条件として、当該仕事にかかる会員間取引の報酬支払事務委託の契約を締結されたものとします。
3 クライアントは、前項の指定決済方法の通知を受けた場合、弊社に対し、当該仕事にかかるコンペ契約金の額及び参加報奨金の合計額の仮払金として、仮払金(以下本条において「仮払金」といいます。)及び付加したオプション料金の合計額を、指定決済方法のいずれかにより支払わなければなりません。振込みにかかる振込手数料は、クライアントの負担とします。仮払金には利息は付されません。
4 弊社は、前項の仮払金を受領した場合、発注依頼の内容に本利用規約の違反がある場合を除き、クライアントに対し受領の連絡をし、当該仕事の仕事依頼が有効になされたものとして、オプション料金を領収し、本サイト上においてフリーランスに向けて当該仕事の依頼を公開します。
5 当該仕事を受けようとするフリーランスは、締切日より前に、本サイト上の所定の仕事提案フォームにより、当該仕事に対する仕事成果物を提案します。かかる仕事成果物の提案をもって、フリーランスと弊社との間で当該仕事にかかる会員間契約の成立を条件として、当該仕事にかかる会員間取引の報酬支払事務委託の契約が締結されたものとします。
6 当該仕事に対するフリーランスからの仕事成果物が1件も提案されていない間は、クライアントは、いつでも当該仕事の仕事依頼をキャンセルすることができます。また、締切日を経過しても当該仕事に対するフリーランスからの仕事成果物が1件も提案されなかった場合、当該仕事の仕事依頼は自動的にキャンセルされます。この場合、弊社は振込みにかかる振込手数料を除いた仮払金の全額をクライアントに対して返還します。
7 クライアントは、本サイト上のメッセージ機能を用いて、特定のフリーランスと、成果物の条件など仕事の内容の協議を行うことができます。また、クライアントは、当該仕事の依頼が公開されたあと、本サイト上のメッセージ機能を用いて、特定のフリーランスに対し、当該仕事に対する提案の勧誘を行うことができます。
8 当該仕事に対するフリーランスからの仕事成果物が1件でも提案された場合、クライアントは、提案された仕事成果物の提案のうち1件を採用したものとして採用しなければなりません。かかる採用は、本サイト上の所定のフォームにより仕事成果物の採用をすることによって行われます。かかる採用をもって、採用された仕事成果物を提案したフリーランス(以下「採用フリーランス」といいます。)とクライアントの間に、コンペ契約金を支払う旨の会員間契約が締結されたものとみなされます。
9 当該仕事において参加報奨金が定められている場合でフリーランスからの仕事成果物が複数件提案された場合、クライアントは、提案された仕事成果物の提案のうち1件を当選したものとして採用した後、参加報奨金を支払う対象として、1件又は複数件の仕事成果物を採用しなければなりません。かかる採用は、本サイト上の所定のフォームにより仕事成果物の採用をすることによって行われます。採用された1件の仕事成果物に対する参加報奨金の額は、参加報奨金の総額を採用された件数で除した金額(1円未満切り捨て)となります。かかる採用をもって、採用された仕事成果物を提案したフリーランス(以下「参加報奨フリーランス」といいます。)とクライアントの間に、参加報奨金を支払う旨の会員間契約が締結されたものとみなされます。
10 クライアントは、参加報奨フリーランスとの間で会員間契約が成立した場合、参加報奨フリーランスに対して、参加報奨金を支払わなければなりません。その支払は、当該仕事に関する仮払金からなされます。支払は、本利用規約第14条で定める決済方法によりなされます。
11 参加報奨フリーランスは、クライアントから参加報奨金が支払われる場合、弊社に対し、システム利用料を支払わなければなりません。その支払は、会員間契約に基づいてクライアントから参加報奨フリーランスに支払われる報酬から、弊社がシステム利用料を差し引いて受領し、残額を参加報奨フリーランスに支払う方法でなされます。
12 クライアントが、当該仕事に必要な第8項及び第9項の採用の全てを行わなかった場合、弊社は、クライアントに対し、締切日後3日毎に通知し、全ての採用を完了するよう催促します。3回の催促がなされてもクライアントが全ての採用を完了しなかった場合、締切日後10日目(この日が銀行営業日でない日にあたる場合は翌銀行営業日)に、クライアントは全ての仕事成果物を採用しなかったものとみなされます。この場合、クライアントは、仮払金の全額を提案したフリーランスの数で除した金額(小数点以下切り捨て)を、提案した全てのフリーランスに対して違約金として支払わなければなりません。その支払は、当該仕事に関する仮払金からなされます。支払は、本利用規約第14条で定める決済方法によりなされます。違約金の支払を受けたフリーランスは、弊社に対し、システム利用料を支払わなければなりません。その支払は、クライアントからフリーランスに支払われる違約金から、弊社がシステム利用料を差し引いて受領し、残額をフリーランスに支払う方法でなされます。
13 採用フリーランスは、クライアントに対し、会員間契約に定める内容の仕事の成果物を、掲載期間経過後7日以内に納品しなければなりません。採用フリーランスが掲載期間経過後7日以内に納品を行わなかった場合、当該仕事の会員間規約は自動的に解約され、弊社は、弊社は仮払いされた契約金をクライアントに対して返還します。この場合、採用フリーランスはクライアントの評価を行うことができません。本項により会員間契約が解約された場合、クライアントが採用フリーランスに個別に損害賠償をすることは妨げられません。
14 クライアントは、採用フリーランスより仕事の成果物を納品された場合、これを納品された日の10日後の日(以下「検収期限」といいます。)までに検収し、その合格・不合格を採用フリーランスへ通知しなければなりません。かかる通知は、検収期限までに、本サイト上の所定のフォームにより検収の合格・不合格の通知をすることによって行われます。
15 採用フリーランスの仕事成果物が検収に合格した場合、クライアントは、採用フリーランスに対して、会員間契約に定める報酬を支払わなければなりません。その支払は、当該仕事に関する仮払金からなされます。支払は、本利用規約第14条で定める決済方法によりなされます。
16 採用フリーランスは、仕事成果物が検収に合格しクライアントから報酬が支払われる場合、弊社に対し、システム利用料を支払わなければなりません。その支払は、会員間契約に基づいてクライアントから採用フリーランスに支払われる報酬から、弊社がシステム利用料を差し引いて受領し、残額を採用フリーランスに支払う方法でなされます。
17 採用フリーランスの仕事成果物が検収に不合格となり再検討の通知がなされた場合、納品予定日は、当該通知の日から7日後に自動的に変更され、採用フリーランスは変更後の納品予定日までに、新たな仕事成果物を提供しなければなりません。かかる納品については、本条第13項以降が適用されます。
18 クライアントが検収期限までに検収の合格・不合格の通知を行わなかった場合、弊社は、クライアントに対し、検収期限後3日毎に通知し、検収の合格・不合格の通知をするよう催促します。3回の催促がなされてもクライアントが検収の合格・不合格の通知をしなかった場合、検収期限後10日目(この日が銀行営業日でない日にあたる場合は翌銀行営業日)に、その成果物は検収に合格したものとみなされます。
19 クライアントおよび採用フリーランスは、検収が終了するまで、双方の合意により会員間契約を解約することができます。この場合、弊社は仮払金のうちコンペ契約金をクライアントに対して返還します。かかる返還は、キャンセルされた日を事象の発生日として、報酬等支払手続に基づき行われます。返還にかかる振込手数料は、クライアントの負担とします。本項により会員間契約が解約された場合、クライアント又は採用フリーランスが相手方に個別に損害賠償をすることは妨げられません。
20 検収が終了するまでの間に、クライアント又は採用フリーランスが、本サービスにおける通常の連絡手段を用いて連絡したにもかかわらず、1週間以上連絡がとれない状態が継続した場合、弊社は、弊社の判断により、会員間契約が解約されたものとみなすことができ、クライアント及び採用フリーランスはこれを了承するものとします。本項により会員間契約が解約された場合、弊社は仮払いされたコンペ契約金をクライアントに対して返還します。本項により会員間契約が解約された場合、クライアントが採用フリーランスに個別に損害賠償をすることは妨げられません。
21 仕事依頼がキャンセルされ、会員間取引が解約され、又は全ての会員間取引に関する支払が行われた後、仮払金のうちコンペ契約金の額及び参加報奨金の全部又は一部が支払われずに残った場合、弊社はこれをクライアントに対して返還します。かかる返還は、キャンセルされた日を事象の発生日として、報酬等支払手続に基づき行われます。返還にかかる振込手数料は、クライアントの負担とします。
22 会員間取引が終了した場合、クライアントおよびフリーランスは、本サイト上の所定のフォームによって、当該会員間取引について所定の方法による相手方の評価を行わなければなりません。クライアントおよびフリーランスは、本サイト上の所定のページにおいて、相手方による上記評価が公開されることを了承します。

第12条 オプション

1 クライアントは、仕事依頼に、「注目」オプションを選択して付加することができます。仕事依頼に「注目」オプションが付加された場合、弊社は、当該仕事依頼について、フリーランスが「注目」の仕事依頼であることを明確に判別できる所定の措置をとって公開します。「注目」オプションの料金は、金3,000円(消費税別)とします。
2 クライアントは、仕事依頼に、「急募」オプションを選択して付加することができます。仕事依頼に「急募」オプションが付加された場合、弊社は、当該仕事依頼について、フリーランスが「急募」の仕事依頼であることを明確に判別できる所定の措置をとって公開します。「急募」オプションの料金は、金7,000円(消費税別)とします。
3 クライアントは、仕事依頼に、「非公開」オプションを選択して付加することができます。仕事依頼に「非公開」オプションが付加された場合、弊社は、当該仕事依頼について、会員以外の利用者が閲覧することができない所定の措置をとって公開します。「非公開」オプションの料金は、金5,000円(消費税別)とします。

第13条 フリーランスポイント

1 弊社は、フリーランスに対し、当該フリーランスが行った会員間取引について支払いを受けた報酬の額に比例して、フリーランスポイントを付与します。フリーランスポイントの付与については、別途本サイト上で定めるとおりとします。
2 フリーランスは、付与されたフリーランスポイントを、本サイト上の広告など、弊社の指定する本サービスの対価の支払の全部又は一部に利用することができます。フリーランスポイントの利用については、別途本サイト上で定めるとおりとします。
3 フリーランスポイントは、付与の日から2年間で消滅します。またフリーランスポイントは、弊社の判断により付与および利用を停止することがあります。

第14条 報酬等支払手続

1 本利用規約に基づいて弊社が会員に対して行う支払は、①弊社の指定する金融機関より振込送金することが可能な、会員名義の金融機関の口座に対する振込、②ペイパル(PayPal Pte. Ltd.及び日本PayPal株式会社の提供する決済サービス)、③ペイオニア(Payoneer Inc.及び日本ペイオニア・ジャパン株式会社の提供する決済サービス)、④その他当社が適切と認める方法とします。会員は、弊社に対して、①の場合、取引銀行口座として、弊社の指定する金融機関より振込送金することが可能な、会員名義の金融機関の口座を、②の場合、有効なペイパルのアカウントを、③の場合、有効なペイオニアのアカウント及び金融機関口座を指定しなければなりません。会員がかかる口座又はアカウントを指定しなかった場合、弊社は支払が不能だったことに関する損害、費用その他の責任を一切負わず、会員が一切の責任を負うものとします。
2 弊社は、弊社が会員に対して行うべき支払(プロジェクト契約金、コンペ契約金、参加報奨金、違約金を含みますが、これに限らず一切の支払をいいます。)のうち、未払いの残高を、随時認識し、会員に対して提示します。
3 会員は、随時、弊社に対して、残高の払い出しを指示することができます(以下、「払出指示」といいます。)。残高の払い出しを指示することができる金額は、指示の時点での当該会員に対する残高の額の範囲内とします。但し、残高が、金5,000円未満である場合には、残高の払出指示はできません。
4 弊社は、毎月15日24時を締日として、締日までにあった払出指示に対して、締日の属する月の末日(銀行営業日でない場合は、その前の銀行営業日)に、会員の口座に対する振込を行います。振込手数料は、すべて会員の負担とします。
5 前2項にかかわらず、弊社は、会員の払出指示の有無にかかわらず、弊社が適当であると判断した場合、残高について会員の口座に対する振込を行うことができるものとします。
6 会員が弊社に対し振込を行う場合の振込手数料は、すべて会員の負担とします。
7 会員間取引につき以下の各号の事由がある場合には、弊社は、本利用規約の規定に拘らず、当該会員間取引にかかる報酬支払事務を終了し、仮払金をクライアントに全額返金することができるものとします。返金の際の振込手数料はクライアントの負担とします。
①会員間取引が当事者双方の合意により解除され、弊社が当事者双方からその旨を確認できた場合
②会員間取引の当事者から提供された情報等をもとに、弊社が会員間取引の当事者双方に確認し、債務の本旨にしたがった履行が行われたか否かの点について、当事者間の認識に争いがあることが認められた場合
③会員間契約成立後、会員間取引のいずれかの当事者又は弊社が、相手方に対し、本サービスにおける通常の連絡手段を用いて連絡をしたにもかかわらず、1週間以上連絡がとれない状態が継続した場合
④その他弊社が仮払金を留保することが不適当であると判断した場合
8 会員は、会員間取引に関する報酬を直接授受することが禁止されます。会員が会員間取引に関する報酬を直接授受した場合、会員は、違約金として、当該会員間取引の報酬額に対する本サービス利用料相当額か金100万円のいずれか大きい方の金額(当該会員間取引の報酬額に対する本サービス利用料相当額の算定が不可能な場合は、金100万円)を弊社に支払うものとします。
9 本条に基づいて支払い又は返金を完了した場合、弊社は、当事者間の報酬等の支払いに関して、以後一切責任を負いません。

第15条 秘密保持

1 弊社と会員間における本サービス又は会員間取引(以下本条において「本サービス等」といいます。)における秘密情報とは、本サービス等に関して、弊社又は会員(以下、秘密情報を開示する者を「開示者」といいます。)が相手方当事者(以下、秘密情報の開示を受ける者を「受領者」といいます。)に対して直接的又は間接的に開示する情報であって、次の各号に該当するものをいいます。
①書面、電磁的記録媒体その他有形な媒体を通じて開示された情報であって、開示者が開示時点で秘密情報であることを当該媒体上に表示したもの
②口頭又は前号以外の手段で開示された情報であって、開示者が開示時点で秘密である旨の指定をし、かつ、受領者に対し、開示後30日以内に、開示した情報の概要を及び当該情報が秘密情報である旨を表示した書面、電磁的記録媒体その他有形な媒体を交付したもの
2 前項にかかわらず、以下のいずれかに該当する情報は、秘密情報に該当しないものとします。
①開示時点で、既に公知又は一般に入手可能であった情報。
②開示後に、受領者の行為によらずに公知又は一般に入手可能になった情報。
③開示時点で、受領者が既に所有していたことを証明し得る情報。
④開示後に、受領者が秘密情報を用いずに独自に開発したことを証明し得る情報。
⑤開示の前後を問わず、受領者が第三者から秘密保持義務を課されることなく正当に入手した情報。
3 受領者は、開示者の秘密情報を、管理担当者を置き情報に接する者を制限して、厳に秘密として管理しなければなりません。
4 受領者は、開示者の秘密情報を、本契約の目的にのみ使用することができ、それ以外の目的のために使用してはなりません。
5 受領者は、開示者の事前の書面による承諾なく、開示者の秘密情報を第三者に対し開示してはなりません。但し、受領者は、開示者の事前の書面による承諾を得た場合であっても、第三者に秘密情報を開示する場合は、当該第三者に対して本契約に定めると同一の秘密保持義務を負わせるなど、秘密情報の漏洩を防止する対策を取らなければなりません。
6 前項の規定にかかわらず、受領者は、以下の場合、開示者の秘密情報を開示することができます。
①本契約に定めると同一の秘密保持義務を負わせた上で、受領者の役職員及び弁護士、会計士その他の専門家に対して開示する場合。
②裁判所、行政当局その他の公的機関、金融商品取引所等に対して、正当な法令又は規則に基づき必要とされた場合には、その必要の限りで開示する場合。但し、この場合、可能な限り開示者に対してその旨を通知するとともに、必要最小限度の開示にとどめるよう最大限の努力を払わなければなりません。
7 受領者は、本契約が終了し、開示者から請求があった場合、開示者の指示に従い、開示者の秘密情報の媒体の原本及びその複製品を返却し、又は破棄した上その旨を開示者に通知しなければなりません。
8 受領者は、本条に定める義務に違反した場合、開示者に対し、直接生じた通常の範囲で開示者に生じた損害を賠償しなければなりません。
9 本条の効力は、本サービス等の終了後も存続するものとします。

第16条 個人情報管理

1 弊社は、登録情報その他の個人情報を、別途定める弊社の「個人情報保護方針」に基づいて管理します。
2 会員は、他の会員の個人情報を取得した際は、別途定める弊社の「個人情報保護方針」に準じて管理しなければなりません。弊社は、会員による他の会員の個人情報の管理について、一切の責任を負いません。

第17条 通知

1 弊社から会員に対する連絡、及び会員間の連絡は、当該会員の登録情報に記載されるメールアドレスに対してメールで、又は登録情報に記載される住所への郵送で、行われるものとします。メールアドレスに送付された連絡は、メールサーバによって拒否された場合を除き、送付と同時に相手方に到達したものとします。郵送で送付された連絡は、通常到達すべきときに、送付と同時に相手方に到達したものとします。弊社は、登録情報に記載される送付先に連絡を送付すれば足り、登録情報の誤りによる連絡の不到達については、一切責任を負いません。
2 会員から弊社に対する連絡は、以下の連絡先に、メールで行われるものとします。

第18条 禁止事項

利用者は、以下の行為を行ってはなりません。仕事依頼に関して禁止される仕事の具体例が、仕事依頼ガイドラインに例示されています。
(1)弊社、他の利用者若しくは第三者の著作権、商標権等の知的財産権を侵害する行為、又は侵害するおそれのある行為。
(2)他の利用者若しくは第三者の財産、プライバシー若しくは肖像権を侵害する行為、又は侵害するおそれのある行為。
(3)特定個人の氏名・住所・電話番号・メールアドレスなど第三者が見て個人を特定できる情報を第三者に提供する行為。
(4)一人の利用者が複数のメールアドレス等を登録して重複して会員登録を行う行為。
(5)会員資格を停止ないし無効にされた会員に代わり会員登録をする行為。
(6)他の利用者若しくは第三者を差別もしくは誹謗中傷し、又は他者の名誉若しくは信用を毀損する行為。
(7)本サイト上の全ページへの不正アクセス若しくはそれを試みる行為、不正な損害を与える恐れのある悪意あるコードを本サイトへ配信し若しくはその配信を試みる行為、又はアクセス可能な本サービス又は他者の情報を改ざん、消去する行為。
(8)弊社又は他者になりすます行為(詐称するためにメールヘッダ等の部分に細工を行う行為を含む)。
(9)有害なコンピュータプログラム等を送信し、又は他者が受信可能な状態におく行為。
(10)他者に対し、無断で、広告・宣伝・勧誘等の電子メール又はメッセージ(以下「電子メール等」といいます。)若しくは嫌悪感を抱く電子メール等そのおそれのある電子メール等を含みます。)を送信する行為。他者の電子メール等の受信を妨害する行為。連鎖的な電子メール等の転送を依頼する行為及び当該依頼に応じて転送する行為。
(11)他者の設備若しくは本サービス用設備(弊社が本サービスを提供するために用意する通信設備、電子計算機、その他の機器及びソフトウェアを言い、以下同様とします。)に無権限でアクセスし、又はポートスキャン、DOS攻撃若しくは大量のメール送信等により、その利用若しくは運営に支障を与える行為、又は支障を与えるおそれのある行為。
(12)サーバ等のアクセス制御機能を解除又は回避するための情報、機器、ソフトウェア等を流通させる行為。
(13)本人の同意を得ることなく、又は詐欺的な手段(いわゆるフィッシング及びこれに類する手段を含む)により他者の会員登録情報を取得する行為。
(14)弊社が事前に書面をもって承認した場合を除く、本サービスを使用した営業活動、営利を目的とした本サービスの利用、又はその準備を目的とした本サービスの利用。
(15)法令に基づき監督官庁等への届出、許認可の取得等の手続きが義務づけられている場合に、当該手続きを履行せずに本サービスを利用する行為。その他当該法令に違反する、又は違反するおそれのある行為。
(16)本サービスの運営を妨害する行為。
(17)本サービスを介さずに会員間取引を進行させる行為。
(18)利用者間の雇用契約の締結を目的又は前提として、本サイトを職業紹介の手段として利用する行為。
(19)他の利用者又は第三者が主導する情報の交換又は共有を妨害する行為。
(20)信用の毀損又は財産権の侵害等のように弊社、利用者又は他者に不利益を与える行為。
(21)長時間の架電、同様の問い合わせの繰り返しを過度に行い、又は義務や理由のないことを強要し、弊社の業務に著しく支障を来たす行為。
(22)口コミサイト、ブログ、SNSなどで、ある商品又はサービスについて実際のものより優良・有利だと誤認させる行為を依頼する行為。
(23)仮払金の支払が完了される前に業務を依頼する行為、又は業務を開始する行為。
(24)クライアントの依頼内容と明らかに異なる成果物の提案や、依頼とは別の目的で作成された成果物を提案として行う行為。
(25)コンペ方式において、クライアントが自身若しくは自身の影響下にある利害関係者の提案を採用する行為。
(26)上記各号の他、法令、又は本利用規約に違反する行為。
(27)公序良俗に違反する行為(暴力を助長し、誘発するおそれのある情報又は残虐な映像を送信又は表示する行為や心中の仲間を募る行為等を含む)、その他迷惑行為。
(28)上記各号のいずれかに該当する行為(当該行為を他者が行っている場合を含む)を助長する目的で他のサイトにリンクを張る行為。
(29)その他弊社が利用者として不適当と判断した行為。

第19条 規約違反への対処

1 弊社は、利用者の行為が本利用規約に反すると判断した場合に、弊社の判断により、当該利用者に何ら通知することなくして、本サービスの一時停止、会員登録の解除、本サービスへのアクセス拒否、本サイト上におけるプロフィール等の掲載情報や電子掲示板への投稿の全部若しくは一部の削除、変更又は公開範囲の制限等の必要な措置をとることができるものとします。
2 前項に基づく弊社の対処に関する質問、苦情は一切受け付けておりません。弊社は、前項に基づく弊社の対処につき、利用者に対し、当該措置によって被った一切の損害について責任を負いません。
3 利用者は、利用者が本利用規約違反等の行為を行ったことにより弊社に損害(第三者に損害が生じ、その損害について弊社が填補した場合を含む)が生じた場合、その一切の損害について、弊社に対して賠償する責任を負うものとします。

第20条 反社会的勢力の排除

1 会員は、現在または将来にわたって、自らまたはその役員もしくは従業員等のいずれも、次の各号の反社会的勢力のいずれにも該当しないことを表明しこれを保証します。
①暴力団
②暴力団員
③暴力団員でなくなったときから5年を経過しない者
④暴力団準構成員
⑤暴力団関係企業
⑥総会屋等、社会運動等標ぼうゴロ
⑦その他前各号に準ずるもの
2 会員は、現在または将来にわたって、前項の反社会的勢力または反社会的勢力と密接な交友関係にある者(以下、「反社会的勢力等」と言う。)と次の各号のいずれかに該当する関係を有しないことを表明しこれを保証します。
①反社会的勢力等によって、その経営を支配される関係
②反社会的勢力等が、その経営に実質的に関与している関係
③反社会的勢力等に対して資金等を提供し、または便宜を供与するなどの関係
④その他反社会的勢力等との社会的に非難されるべき関係
3 会員は、自らまたは第三者を利用して次の各号のいずれの行為も行わないことを表明しこれを保証します。
①暴力的な要求行為
②法的な責任を超えた不当な要求行為
③取引に関して脅迫的な言動をし、または暴力を用いる行為
④風説を流布し、偽計または威力を用いて相手方の信用を毀損し、業務を妨害する行為
⑤その他前各号に準ずる行為
4 会員は、弊社が前3項の該当性の判断のために調査を要すると判断した場合、その調査に協力し、これに必要と判断する資料を提出しなければなりません。
5 弊社は、会員が反社会的勢力に属すると判明した場合、当該会員に対して何らの通知、催告を要せず、また弊社の債務の履行提供をせずに直ちに、当該会員の登録抹消を行うことができます。この場合、弊社は、当該会員に対して当該解除による損害を賠償する責を負わず、また、これにより弊社に損害が生じた場合は、当該会員が賠償しなければなりません。
6 弊社は、会員が反社会的勢力に属すると判明した場合、当該事実を警察その他の機関に通報することができます。会員は、かかる通報につき、通報するものの秘密保持義務を免除します。

第21条 サービスの中断又は終了

1 弊社は、会員にメールで通知しかつ本サイト上にて1か月前の事前予告を行うことにより、本サイト及び本サービスを中断又は終了させることができます。
2 弊社は、システム障害及び保守、停電や火災などの天変地異、その他技術上・運営上の理由により、本サービスの提供が困難であると判断した場合、事前の予告なく即時に本サイト及び本サービスを終了させることができます
3 本サイト及び本サービスが終了した場合でも、既に締結された会員間契約は有効とします。会員間契約の当事者たる会員は、会員間契約の履行義務を果たさなければなりません。

第22条  免責

1 会員登録取消し、利用者のID・パスワードの第三者の漏洩、利用者による秘密漏示、本サービスのシステム不具合や障害・中断やデータの消失・漏洩等により生じた不利益・損害等、本サービスの利用により利用者に生じた一切の不利益・損害について、弊社は一切の責任を負いません。
2 利用者が、本サービスを利用することにより、他の利用者又は第三者に対し不利益・損害を与えた場合、利用者は自己の費用と責任においてこれを賠償するものとし、これらの一切の不利益・損害について弊社は一切責任を負いません。
3 弊社は本サービス上で行われる受発注者間の取引を管理するものではなく、取引によって生じた一切の不利益・損害について一切責任を負いません。
4 利用者が本サイトにアクセスし、利用し、ブラウジングし、又は文書、イメージ、画像、音声など(フリーランス又はクライアントが提供する添付ファイルを含みますが、これに限られません。)をダウンロードすることによって、利用者のコンピュータ機器又はソフトウェアがウイルスに感染するなどの理由により損なわれても、それにより利用者が被った不利益・損害について、弊社は一切責任を負いません。
5 本サービス上でやりとりされるメッセージや送受信されるファイルに個人情報等が含まれていた場合、それによって会員が被った不利益・損害について、弊社は一切責任を負いません。
6 弊社は、会員の身元の保証をするものではなく、またフリーランス又はクライアントが本サービス上で取引を完了することを保証するものでもありません。
7 弊社は、コンペ方式においてメンバーが提案した成果物、会員がプロフィールやポートフォリオ等又は電子掲示板に掲載又は投稿した画像、テキスト、プログラム等、本サービス上で会員が作成・登録・提供・掲載・投稿した一切の画像、テキスト、プログラム等について、本サイトの円滑な運営又は本サービスの継続的な提供のために必要な範囲内で、弊社の判断により、変更、切除その他の改変を行うことができるものとし、これらによる一切の不利益・損害について弊社は一切責任を負いません。

第23条 準拠法

本利用規約は、日本法に準拠し、日本法に基づいて解釈されます。

第24条 言語

1 本利用規約は、日本語を正式な言語とします。弊社は、本利用規約について、利用者の便宜のために、日本語以外の言語による参考訳を提供する場合がありますが、日本語の本利用規約との間に齟齬があった場合は、日本語の本利用規約が優先します。利用者が日本語以外の言語による参考訳に依拠して行動したことにより生じた一切の不利益・損害について、弊社は一切の責任を負いません。
2 本サイト及び本サービスは、日本語を正式な言語とします。弊社は、本サイト及び本サービスについて、利用者の便宜のために日本語以外の言語による参考訳を提供する場合がありますが、参考訳の正確性については保証するものではありません。利用者が日本語以外の言語による参考訳に依拠して行動したことにより生じた一切の不利益・損害について、弊社は一切の責任を負いません。

第25条 裁判管轄

弊社と会員の間の一切の法的紛争は、東京地方裁判所又は東京簡易裁判所を第一審の専属管轄裁判所とします。

Terms of Use

This English version of "Terms of Use" is for reference only. If there is any inconsistency, the Japanese version always takes precedence.

Section 1 Purpose

The Terms of Use is to set forth the relationship between Our Company and Members associated with the usage of the Service and the relationship between Members associated with Members’ Transactions.

Section 2 Definition

In the Terms of Use, the following terms shall have the meaning set forth below.
(1) ”Our Company” means Workshift Solutions Co., Ltd.
(2) "Site" means "Workshift" internet site managed by Our Company.
(3) "Service(s)" collectively refers to the services provided by Our Company on the Site (including, but not limited to, remuneration payment management related to intra-member transactions).
(4) ”User(s)" means an individual or entity (including Members) who use the Site.
(5) "Members" means Users who are registered as Members in accordance with Section 5.
(6) "Member Registration Application" means application for registration of Member made by a Member for Our Company as a Client or a Freelancer in accordance with Section 5 paragraph 2 or 3 of the Terms of Use.
(7) "Member Registration Information" means information registered in Our Company by Members.
(8) "Member Account" means the authority configured to Members to use the Service.
(9) "Client" means the Members requesting or trying to request for Work through Members’ Transaction.
(10) "Freelancer" means a Member who undertakes or has a willingness to undertake Work through Members’ Transactions.
(11) "Team" means a community of more than one Freelancer constituted on the basis of Section 8 in this Terms of Use.
(12) "Team Member" refers to Freelancers comprising a Team other than Team Leader.
(13) ”Team Leader" means a Freelancer who manages the Team by setting up a Team, proposes allocation of the value of orders received, and negotiates and coordinates with the Client.
(14) "Work" means each specific business entrusted through Members’ Transactions.
(15) "Work Request" means application of Work agreements outsourced by Clients to Freelancers.
(16) "Members' Transactions" means outsourcing transaction among Members through the Site, and collectively refers to Project-Type Transactions and Competition-Type Transactions.
(17) "Members’ Agreement" means the contract made and entered by and between the Members for Members’ Transactions.
(18) "Project-Type Transactions" means the Members’ Transaction as specified in Section 9 of this Terms of Use.
(18-2) “Workshift Business” means the services annexed to Project-Type Transactions that we provide to the Client as specified in Secion10 (2) of this Terms of Use.
(19) "Competition-Type Transactions" means the Members’ Transaction as specified in Section 11 of this Terms of Use.
(20) "Option" means the options for Work Requests as specified in Section 12 of this Terms of Use.
(21) "Remuneration" means the consideration for Work to be paid by the Clients to Freelancers, and refers to Fixed Remuneration for Project-Type Transactions, Prize Incentives and Participation Incentives for Competition-Type Transactions.
(22) "Fixed Remuneration" means the fixed compensation to be paid to Freelancers employed for Project-Type Transactions.
(23) "Prize Incentives" means the Remuneration to be paid to winners for Competition-Type Transactions.
(24) "Participation Incentives" means the Remuneration to be paid to Freelancers who did not win but selected by Clients for Competition-Type Transactions.
(25) "System Usage Fee" means the charges to be paid to Our Company by the Freelancers when the Members’ Transactions are completed, and is calculated according to the following rates.
1. 20% for part of 50,000 yen of the Remuneration paid by the Clients to Freelancers.
2. 10% for part of more than 50,000 yen of the Remuneration paid by the Clients to Freelancers.
(26) "Option Usage Fee" means the Option Usage Fees as specified in Section 12.
(27) " Designated Settlement Method" means settlement methods specified by Our Company for the Clients as an account in which Escrow Payments are payable, including the transfer to the bank account designated by Our Company, the settlement with credit cards designated by Our Company, and the settlement with Pay Pal (the settlement service provided by PayPal Pte. Ltd. and Nihon PayPal KK).
(28) "Escrow Payment" means the amount paid in advance by the Clients to Our Company as source of payment for Option Usage Fee and Remuneration.
(29) “Payment Procedures of Remuneration” are the procedures specified in Section 14 of the Terms of Use.
(30) "Balance" is outstanding amount of payment from Our Company to the Members, including but not limited to Fixed Remuneration, Prize Incentives, Participation Incentives, and breach of contract fees that Our Company should make to Members.
(31) "Bank Business Day" means the working day in a financial institution that manages the bank account designated by Our Company or other financial institution accounts used for the Services.

Section 3 Terms of Use

(1) The User shalluse the Site with a full understanding of the Terms of Use, and shall be deemed to have agreed to comply with Terms of Use for using the Site.
(2) The Terms of Use shall be applicable to all acts of use of the Site by the User.
(3) Unless agreed otherwise, the Terms of Use shall be applicable to the use of the Service between Our Company and Members.
(4) The Terms of Use shall be applied to Members’ Transactions between Members.
(5) The Terms of Use are subject to change, addition or deletion without notice at the discretion of Our Company. Any changes, addition or deletion of the Terms of Use will be effective when Our Company posts the changes, additions or deletions on the Site. The User shall be deemed to have accepted the changes, additions or deletion of these terms while using the Site after such changes. Our Company shall not be held liable for any User as a result of the changes in the Terms of Use.

Section 4 Site

(1) Our Company shall operate the Site as an internet site and approve use of the Site by Users. Besides Section 6 of the Terms of Use, Clients can use the site, post job recruitment advertisements and send individual messages to users within the conditions approved by Our Company.
(2) Our Company shall monitor in an appropriate manner at our sole discretion, whether or not the User uses the Site properly, and the User agrees to it.
(3) We reserve all the proprietary rights, intellectual property rights, and other rights related to images, text, programs provided by Our Company on the Site. The approval of usage for Users in the preceding paragraph does not mean granting a usage license of the rights above.
(4) The User grants usage rights to Our Company to use any images, text and programs created, registered, provided or posted by the User on the Site free of no charge for the purpose of advertising the Services, and agree not to enforce any such moral rights of authors or other rights of Users.
(5) The Users shall make their own judgment and take their own responsibility when accessing the Site, using it, browsing, and downloading documents, images, graphics, audio etc. (including but not limited to attached files offered by Freelancers or Clients). For security, Our Company will run standard virus checks on incoming files from Users but this does not constitute any form of guarantee. Our Company takes no responsibility for damage to User hardware or software incurred from computer viruses.
(6) This Site may be changed, modified or deleted without prior notice at our discretion. Any changes, addition or deletion in the Site will be effective when Our Company posts the changes, additions or deletions on the Site. By using the Site after the changes, additions, deletions are made on the Site, the User acknowledges his/her consent to the Terms of Use. Our Company does not assume any responsibility as a result of the changes in the Site.
(7) Our Company takes no responsibility and is not directly involved if users use this site for purposes unrelated to the Terms of Use.

Section 5 Members

(1) The Users who have made a Member Registration Application and have been screened by Our Company and registered as a Member are regarded as Members.
(2) A User who intends to become a Member as a Client can enter the prescribed Member Registration Information from the Client registration form on the Site and make a Member Registration Application. Even Users who are already registered as Members or who have applied for Membership can also apply for registration of Membership as a Client.
(3) A User who intends to become a Member as a Freelancer can enter the prescribed Member Registration Information from the prescribed freelancer registration form on the Site and apply for Membership. Even Users who are already registered or have made a Member Registration Application as a Client can also make a Member Registration Application as a Freelancer.
(4) The Member Registration Application mentioned in the preceding two paragraphs cannot be performed by a person any other than a User who intends to be a Member (a person who has external representative rights or one who has been legally commissioned by that person). A User who intends to be a Member must register true, accurate, up-to-date Member Registration Information, at the time of Member Registration Application and after Member Registration Application. Our Company does not assume any responsibility for the accuracy of the information registered by the Member towards the Member or any other person.
(5) Our Company may review the Member Registration Application, and determine whether or not to register the user as a Client or a Freelancer in accordance with the Member Registration Application, and the approved applications are registered as Members. The Users who are registered as Members by Our Company become a Member. Regardless of the registration of a Member, Our Company does reveal the details of the review. Our Company does not assume any responsibility for the persons who made a Member Registration Application with the intention of becoming a Member but the Member Registration Application was not approved.
(6) If the staff of Our Company confirms the identification of a member by means of, including, but not limited to, exchanging business cards, Our Company can, at its own discretion, disclose on the Site that the said member has been identified and confirmed by Our Company.
(7) Members as a Freelancer can optionally register their identification documents. Registered Users are responsible for ensuring that the content of their identification documents are accurate. The Member shall submit the identification documents to Our Company, and Our Company shall check the documents against the Member Registration Information. In the event that the documents are deemed as identification documents, the Member shall be treated as "Identification documents submitted", and the Member can apply forWork Requests that require identification verification. Our Company will not present the identification documents to the Client. The company does not guarantee the content integrity of User identification documents.
(8) To be eligible for Membership, a person must meet the following conditions.
1. Must be 18 years or above.
2. If there are legal restrictions on legal action then in order to lawfully and efficiently use the Site comprehensive permission and approval regarding use of the Site must be obtained.
3. Should have a valid e-mail address.
4. To become a Member as a Freelancer, one must not already be registered as a Freelancer. To become a Member as a Client, one must not already be registered as a Client.
5. Agree to all the provisions in the Terms of Use.
6. Not be associated with anti-social forces as provided for in Section 21.
(9) The Members shall be given a Member Account with an ID and password to use the account, and the Members can transact among Members as a Client or a Freelancer using the Services through the Member Account, in accordance with the registration. The Member shall manage the ID and password on his/her own responsibility and ensure that the ID and password are not lost or stolen. Our Company and the other Members shall consider those who act by using the Member Account with ID and password as the owner of the Member Account, and shall not assume any responsibility towards the Members as a result.
(10) A Member is obligated to comply with the Terms of Use, Members’ Agreement, and other applicable laws and regulations such as intellectual property laws, anti-monopoly laws, subcontractor laws, labor laws, immigration laws, tax laws and others. In the event of any breach of compliance with the above obligations by Members, Our Company can stop the use of the Services and the Site (including but not limited to removing Client registration information or Freelancer registration information, as well as disabling login capability of the Member) and Our Company shall not assume responsibility for any result occurring from these actions toward the Member.
(11) A Member shall not transfer, mortgage or dispose otherwise to a third party in whole or in part of the contractual status or own rights and obligations based on the Terms of Use.
(12) If Our Company determines that the following events apply to the Members, Our Company can cancel the Membership of such registered Members. In the event of cancellation of Membership, Our Company does not assume any responsibility towards the Member whose registration has been canceled as a result.
1. When it has been revealed that the conditions of a Member cannot be met or no longermeets the criteria.
2. When false information has been determined in the Member Registration Information.
3. When a Member is unable to receive e-mails from Our Company.
4. When a Member has committed an act in violation of the Terms of Use.
5. When it is determined as inappropriate to maintain the registration of Member by Our Company.
(13) A Member can unsubscribe by following the procedure mentioned in the specified page on the Site. However, a Member cannot unsubscribe, when Members’ Transactions (including unsettled Remuneration in addition to incomplete Work) are in progress with Members as parties concerned. Even if a Member unsubscribes, he/she cannot be exempt from the Terms of Use and contract concluded among Members. When a Member unsubscribes without performing the withdrawal instructions by the payment procedure of its Balance which Our Company shall pay to the Member by the payment procedure, the Member is considered to have abandoned all of the right to claim for Our Company about the Balance concerned.

Section 6 General Rules of the Service

(1)Our Company will provide the Services on the Site for Members. The content of the Services are primarily as follows, and other services are presented on the Site.
1. Offering information platform with regard to Member’s Agreement
2. Remuneration payment management for payment from Clients to Freelancers for Member's Transactions
3. Workshift Business
(2) Members agree that Our Company shall monitor in an appropriate manner whether or not the Services are used properly at our discretion.
(3) The Members are obliged to pay System Usage Fees set forth in the Terms of Use, Option Usage Fee, and the Service usage fee stipulated by Our Company as consideration for the Service.
(4) The standard time for using the Service shall all be managed by servers of Our Company, and the time displayed on the Site shall be considered as standard time. If a time other than Japan time is displayed it should be converted to Japan time.
(5) The calculation period for the Service shall be in accordance with the calendar days according to the standard time in the preceding paragraph; the day in which the period has started shall not be included, and the next day of period shall be calculated as the first day. However, when the period starts from midnight, the day in which the period has started shall be calculated as the first day.
(6) The exchange rate used by the Service is the exchange rate used by our bank for settlements.
(7)The Services may be changed, added or stopped without prior notice at our discretion. Any changes, addition or deletion in the Site will be effective when Our Company posts the changes, additions or stoppage on the Site. By using the Site after the changes, additions, stoppage are made on the Site, the User acknowledges his/her consent to the Terms of Use. Our Company does not assume any responsibility as a result of the changes in the Site.

Section 7 General Rules of Members' Transaction and Members' agreement

(1) By using the Service, a Member can perform Members’ Transaction for Project-Type Transactions or Competition-Type Transactions of business activities by considering himself/herself as a Client and other Members as Freelancers, or by considering himself/herself as a Freelancer and other Members as Clients.
(2) The Members’ Agreement is a contract to which the Member is a party, and under no circumstances does Our Company become a party to the contract. The legal binding Members’ Agreement only binds the Member who is a party to the contract and does not extend to Our Company. Our Company does not guarantee or confirm contents, quality accuracy, legality etc. of business conduct and other deliverables of Members’ Transactions, and Our Company does not assume any responsibility for the failure to perform Work obligations by the Freelancer in Members’ Transactions, or liability for defect warranty in Work deliverables provided by the Freelancers, or any other result occurred during the Members’ Transactions.
(3) The Members’ Agreement is an outsourcing agreement. The Members’ Agreement must not in any manner be regarded as an employment relationship or dispatch relationship, and the Client cannot supervise or give instructions as a worker for business content or specific execution of Work to the Freelancers. Even if there is a promise to consider the Members’ Agreement as an employment relationship or dispatch relationship, Our Company does not approve and does not assume any responsibility for any results of such promise.
(4) The conditions of Members’ Transactions shall be in accordance with the extent specified in the Terms of Use and Members’ Agreement. If there is no provision, the conditions shall be in accordance with the Civil Code or other laws and regulations.
(5) In the Members’ Agreement, a special agreement different from the Terms of Use can be stipulated by an agreement between the parties to Members’ Agreement. However, Our Company is in no way concerned with the contents, effectiveness, existence of such contracts, and does not assume any responsibility for any results occurring due to the contract.
(6) Once the contents of the Members’ Agreement have been concluded, changes cannot be made as a rule. When the Member separately makes changes in agreement, such changes bind the Members and are not binding Our Company. Our Company is not obligated when obligations such as remuneration payment management etc. are fulfilled on the basis of contents in the agreement concluded in the beginning. However, Our Company is in no way concerned with the contents, effectiveness, changes in such contracts, and does not assume any responsibility for any results occurring due to the contract.
(7) The standard time for Members’ Transactions shall entirely be managed by the server of Our Company, and the time displayed on the Site shall be considered as standard time.
(8) The calculation period for Members’ Transactions shall be in accordance with the calendar days according to the standard time in the preceding paragraph; the first day of period shall not be included, and the next day of period shall be calculated as the first day. However, when the period starts from midnight, the first day of period shall be calculated as the first day.
(9) All the taxes (addition of consumption tax, collection of withholding tax, and including such but not limited to) on transfer of Remuneration for Members’ Transactions shall be directly processed by Members. Our Company is in no way concerned about the processing of such taxes, and does not assume any responsibility for the results occurring due to such processes.
(10) The rights (proprietary rights, intellectual property rights (including right to receive intellectual property rights, rights of Article 28 and Article 27 of the Copyright Act)) related to deliverables of Work (Excluding deliverables of Work not adopted by Competition-Type Transactions. Same in the following section) from Members’ Transactions shall be transferred from the Freelancer to the Client at the same time when Remuneration is paid from the Client to the Freelancer. In addition, the Freelancer shall not undertake to further exercise moral rights or own rights, at the same time when Remuneration is paid from the Client to the Freelancer.
(11) The Client and Freelancer agree with Our Company to display Work deliverables from the Members’ Transactions, for the purpose of introducing the Services on the Site.
(12) When it is determined that the rights related to Work deliverables not adopted by Competition-Type Transactions (proprietary rights, intellectual property rights (including right to receive intellectual property rights, rights of Article 28 and Article 27 of the Copyright Act)) are not adopted, the rights shall be transferred from the Freelancer to Our Company, and the Freelancer shall not undertake to further exercise moral rights or own rights related to such Work deliverables.
(13) Our Company serves only as the remuneration payment management servicer for intra-member transactions between Client and Freelancer Members. Once Our Company and the Client enter into the payment agreement, Our Company has the right to request escrow payment from the client. Once the Freelancer and Our Company establish a remuneration payment agreement and when monetary Remuneration results from a transaction, the Freelancer has a right to the funds being held in escrow for that transaction by Our Company. Unless otherwise agreed between the parties, any additional credit obligations do not arise between Our Company and the Client or between Our Company and the Freelancer regarding escrow payments and escrow collection.
(14) When a Client pays by credit card for paying a Freelancer during intra-member transactions Our Company acts as the affiliate of the credit card company and receives the payment. In this case the payment is an escrow paid by the Client and Our Company, based on the remuneration payment agreement, has the claim rights to this money. This is not a claim right for Remuneration between the Client and Freelancer.
(15) A Member shall not transfer, mortgage or dispose otherwise to a third party in whole or in part of the contractual status or own rights and obligations based on the Members’ Agreement.

Section 8 Team

(1) A Freelancer can organize a Team and can carry out Members’ Transactions.
(2) Freelancers attempting formation of a Team can form a Team as the Team Leader by following the prescribed formation procedures of the Team on the Site. A Freelancer can form only one Team as the leader but may join other Teams as a regular Member.
(3) A Freelancer can request to participate with the Team. A Team Leader who receives the participation request to the Team can make a Freelancer as a Team Member by approving the request and enrolling him/he into the Team.
(4) A Team Leader can invite other Freelancers to the Team. The Freelancers who are invited can become a Member by accepting the invitation and joining the Team. Non-registered persons can also be invited to a Team but only after they register as a Freelancer with the Service.
(5) A Team Leader can expel the Team Members freely at any time. However, the expulsion of Team Members shall not affect the Members’ Transactions enacted through the Team.
(6) If a Team Leader fails to reply to messages from either Team Members, other Users or Our Company, Our Company reserves the right to retract the Team Leader’s authority and grant such authority to another Team Member. The newly appointed Team Leader is bound by the conditions for Team Leaders described in the Terms of Use.

Section 9 Project-type Transactions

(1) Project-type transaction means the transaction in which Freelancers conduct business where the Freelancer applies for the Work Request of aClient from the Members’ Transactions. Work contents are finalized through discussions between the Client and Freelancer, and thereby enter into an outsourcing agreement.
(2) The Client who intends to perform Project-Type Transactions shall furnish the project-type Work Request using the prescribed Work Request form on the Site with regard to the Work to be requested to the Freelancer (hereinafter referred to as "the Work" in the following section.), and shall mention all prescribed fields such as request title, category, description, deadline (select from the following options: after 7 days, after 14 days, 21 days, others), available Options, budgeted amount of Fixed Remuneration etc., and shall place an order request to Our Company.
(3) When there are no available Options mentioned in the preceding paragraph, Our Company discloses the Work Request to the Freelancer on the Site, excluding the cases where there is a breach of the Terms of Use in the contents of order request.
(4) When a Client adds an Option to a job request, Our Company will send a message to the Client indicating the payment amount for the Option Usage Fee and requesting specification of the Designated Settlement Method. Upon the receipt of the message, the Client shall pay the exact amount charged for the Option Usage Fee by one of the Designated Settlement Methods.. Once Our Company confirms receipt of the funds, and as long as there are no violations to the Terms of Use, the job request will be posted on the website for Freelancers to browse. If the option fee is not paid within 10 days the work request will be automatically cancelled.
(5) With respect to the last two paragraphs regarding the public posting of such Work Requests on the site. When work is publicly posted it means that the client and Our Company have entered into an intra-member agreement for Remuneration payment.
(6) During the time period when a job (work) is posted, a Freelancer can apply for the job using the designated form to specify the end product details, the amount of Remuneration payment, and the expected delivery date. The submission of this application means that Our Company and the Freelancer have entered into a Remuneration payment agreement for intra-member transactions. Within the posting period the Freelancer can modify the end product details, amount of Remuneration payment, and expected delivery date using the appropriate job application form.
(7) After the Work Request has been disclosed, the Client can negotiate the contents of Work such as a specific Freelancer, conditions for deliverables, final delivery date, Fixed Remuneration amount etc., using the message function on the Site. In addition, the Client can solicit applications for the Work to a specific Freelancer using the message function on the Site, after the Work Request has been disclosed.
(8) The Client can cancel the Work Request at any time during the posting period. In addition, when there is not even one application from Freelancers for the Work Request even after the posting period, the Work Request will be automatically cancelled. When a job request is cancelled the posting is closed.
(9) When the Client adopts an application in the event of not even one application from a Freelancer for the Work within 14 days of the posting deadline the Client shall select the Freelancer who has applied using the prescribed form on the Site within the deadline, and shall specify the final delivery date and Fixed Remuneration amount agreed upon between the Client and the Freelancer, and must decide to adopt the application. When the application has been adopted, Our Company will call off the Work Request from display, and will give notice to Client for specification of Designated Settlement Method to make Escrow Payment for the Work.
(10) If the Client does not adopt any applications within 14 days of the posting deadline it is regarded as a decision to the effect that no applications have been adopted, and the Work Request will be automatically canceled.
(11) When the Client receives the Designated Settlement Method notification, the total of Fixed Remuneration amount must be paid by one of the Designated Settlement Methods as Escrow Payment (hereinafter referred as "Escrow Payment" in the following section). The bank transfer fees for Escrow Payment shall be borne by the Client. The Escrow Payment amount shall not bear interest. Our Company will hold the escrow until Our Company receives the notice of either the completion of the Work or the termination of the Members’ Agreement from both parties of the Client and the Freelancer.
(12) Upon receiving the Escrow Payment, Our Company will notify the same to the Freelancers who have been selected. With this application, it shall be considered that the Member's Agreement has been concluded related to the Work between the Client and the Freelancer who has been selected, based on the contents agreed upon in consultation between the Client and Freelancer.
(13) Despite adopting the application, when the Client has not provided Escrow Payment for the Work within 10 days of adoption, the job request is automatically cancelled. When this happens the Client cannot evaluate the Freelancer.
(14) When the Freelancer receives notification on the receipt of Escrow Payment from Our Company, the Work deliverables of contents set forth in the Members’ Agreement must be delivered in accordance with the provisions of the Members’ Agreement such that the acceptance validation can be completed by the Client on the final delivery date. When the Freelancer does not deliver even one Work deliverable of contents set forth in the Members’ Agreement within 7 days, the Freelancer acknowledges that the Client has the right to terminate the Members’ Agreement. When the Members’ Agreement is canceled in accordance with this paragraph, Our Company will refund the Fixed Remuneration received in advance to the Client. When the Members’ Agreement is cancelled in accordance with this paragraph, it does not preclude the Client from taking separate compensation for damages from the Freelancer.
(15) When the Client receives the Work deliverables from the Freelancer, the acceptance validation for these deliverables must be done by the final inspection date (the 10th day after receiving deliverables from Freelancer) as set forth in the Members’ Agreement, and the results of acceptance validation (pass/fail) must be notified to the Freelancer. Such notices can be given by notification of results (pass/fail) of acceptance validation using the prescribed form on the Site within the final delivery date.
(16) If the Work deliverables of the Freelancer passed the acceptance validation, the Client must pay the Remuneration set forth in the Members’ Agreement. The payment will be done from the Escrow Payment related to the Work. The payment will be made in accordance with the Payment Procedures of Remuneration.
(17) If the Freelancer passed the acceptance validation of Work deliverables and receives payment of Remuneration from the Client, the Freelancer must pay a System Usage Fee to the Our Company. The payment will be made such that the System Usage Fee shall be deducted from the Remuneration to be paid to the Freelancer from the Client based on the Members’ Agreement, and the remaining amount will be paid to the Freelancer.
(18) If the Work deliverables of the Freelancer failed the acceptance validation, Our Company will not settle the Escrow Payment until notification of another acceptance validation or notification of cancellation of Members’ Agreement by mutual agreement from Client and Freelancer has been received. If the Client notifies Our Company that they will re-inspect the Work deliverables then the Freelancer has 7 days to deliver a new product. Such deliverables are subject to article 14 of this section.
(19) When the Client does not give notification of the results (pass/fail) of acceptance validation within the final inspection date, Our Company notifies the Client every 3 days after the final inspection date, and reminds for notification of the results (pass/fail) of acceptance validation. When the Client does not give notice of the results even after reminder for 3 times, it will be considered that the deliverables have passed the acceptance validation on the 10th day (if this day falls on a bank holiday, the next Bank Business Day) after the final inspection date.
(20) The Client and Freelancer can cancel the Members’ Agreement by mutual agreement before the acceptance validation is completed. In this case, Our Company will refund the Fixed Remuneration amount from the Escrow Payment to the Client. The refund will be made based on the Payment Procedures of Remuneration with the day of cancellation as date of occurrence of event. The bank transfer charges at the time of refund will be borne by the Client.When the Members’ Agreement is canceled in accordance with this paragraph, it does not preclude the Client from taking separate compensation for damages from the Freelancer.
(21) When the state continues more than one week where communication between the Client and the Freelancer is not produced through the normal communication means before the completion of the acceptance validation, Our Company can at its own discretion consider that the Member's Agreement was cancelled, and both Client and Freelancer shall approve this. If after one week of winning a job the Freelancer does not communicate through the Services provided by the Site Our Companycan at its own discretion dissolve the agreement between Members. Both Client and Freelancer acknowledge and agree to this. If an agreement, as discussed in this article, is dissolved the company will return the escrow to the Client. In this case, where an agreement has been dissolved as discussed in this article, Our Company cannot prevent the Client from seeking damage compensation from the Freelancer.
(22) When Members’ Transaction have been completed, the Client and the Freelancer must evaluate the other party by the predetermined method in regard to the Members’ Transaction using the prescribed form on the Site. The Client and the Freelancer acknowledge that the evaluation of each party will be disclosed on a predetermined page on the Site.

Section 10 Special Provisions on Project-type Transactions by Team

(1) Even when performing Project-Type Transactions through the Team, the Services will be performed among several Freelancers, and the Members’ Transaction will be performed between the Client and several Freelancers, however this section will be applicable as special provisions of the procedure.
(2) Application for a Project-Type Transaction by a Team can only be made by the Team Leader. When the Team Leader intends to perform Project-Type Transactions through the Team, the Team Leader selects the Team Members (both Team Leader and Team Members are hereinafter referred to as "Trustee Members") to whom the applied Work Requests are to be entrusted from among all the Team Members, determines the allocation of Fixed Remuneration for each Trustee Member when an order is received, and proposes to the Trustee Members. Once the proposal has been agreed by each of the consigned Team Members, the Team Leader can apply for the job. The submitted application constitutes the establishment of a Remuneration payment management between Our Company and each of the consigned Team Members related to the said Work on conditions of conclusion of intra-member transactions.
(3) When the Client adopts the application of a Team and makes an Escrow Payment , it will be considered that the Members’ Agreement for the Work has been concluded based on the contents agreed upon between the Client and each Trustee Member.
(4) Delivery in case of Project-Type Transactions through the Team can be done only through the Team Leader. The Trustee Member submits the Work deliverables to the Team Leader, and the Team Leader must consolidate the deliverables to the Client. When the Team Leader does not deliver to the Client even when the Trustee Member has submitted the Work deliverables to Team Leader, the Client and Our Company will not accept that delivery has been made. In this case, it does not preclude the Trustee Member from taking separate compensation for damages from the Team Leader.
(5) The payment of Remuneration from the Client will be made directly to each Trustee Member. In addition, each Trustee Member must directly pay the System Usage Fee to Our Company.The System Usage Fee each Trustee Member must pay is calculated on the basis of the amount of Remuneration distributed to each Trustee Member.
(6) Cancellation of application, the intention of cancellation of Members’ Agreement or acknowledgment of cancellation of Members’ Agreement can only be done by the Team Leader.

Section 10-2 Workshift Business

(1) “Workshift Business” means the services annexed to Project-Type Transactions that we provide to the Client. The services are mainly as follows, and others should be shown on the Site.
1. Introduce freelancers who are considered to be suitable for tasks
2. Provide consulting services related to business execution
3. Agency services related to administrative operations such as a job creation, business management, and so on
(2) Client who wants to use Workshift Business applies for the services of Workshift Business (hereinafter referred to as "Workshift Business" in the following section) through a prescribed form at the time of posting concerned Project-Type Transaction (hereinafter referred to as "Concerned Job" in the following section).
(3) When the Client applies for Workshift Business mentioned in the previous paragraph, Our Company and the Client need to confirm job descriptions, including fee, and then agree to all conditions with each other. With this agreement, Workshift Business is contracted between Our Company and the Client. After the agreement, Our Company will start providing the services of Workshift Business to the Client. If Our Company and the Client do not reach an agreement, regardless of the Client’s application for the Workshift Business mentioned in previous paragraph, Our Company has no obligation to provide Workshift Business to the Client.
(4) The agreed fee of Workshift Business in previous paragraph will be displayed to the Client on Workshift when the Client adopts applications of Concerned Job offered by the Freelancer mentioned in the section of (9)-9. When the Client receives the Designated Settlement Method notification, the total Fixed Remuneration amount of Workshift Business must be paid by one of the Designated Settlement Methods as Escrow Payment. The bank transfer fees for Escrow Payment shall be borne by the Client. Our Company will not settle the Escrow Payment amount until the Client’s payment obligation is confirmed as mentioned in below section (5) or, cancellation occurs as mentioned in below section (6). The Escrow Payment amount shall not bear interest.
(5) The Client must pay the Fixed Remuneration amount of Workshif Business to Our Company under following situations;
1. The Client accepts Freelancer’s offer and starts Concerned Job with the service of Workshift Business.
2. The Client accepts deliverable of Work submitted by Freelancer which is related to the Concerned Job (including the situation of acceptance of deliverable Work as mentioned in section (9)-9).
Our company will receive the Fixed Remuneration amount of Workshift Business based on payment method mentioned in previous section (4) when the Client’s obligation of payment for Workshift Business is confirmed.
(6) The Client and Our Company can cancel the contract of Workshift Business by mutual agreement before the acceptance validation is completed. In this case, Our Company will refund the Fixed Remuneration amount from the Escrow Payment to the Client as mentioned in previous section (4). The refund will be made based on the Payment Procedures of Remuneration with the day of cancellation as date of occurrence of event. The payment transfer charges at the time of refund will be borne by the Client.

Section 11 Competition-type Transactions

(1) The Competition-Type Transactions means the transactions in which several Freelancers propose Work deliverables for the Work deliverables of the Client, and the Client adopts at least one Work deliverable, and establishes an outsourcing agreement between the one Freelancer who has proposed the adopted Work deliverables.
(2) The Client who intends to perform Competition-Type Transactions shall furnish the competition-type of Work Request using the prescribed Work Request form including the Work categories on the Site with regard to the Work to be requested to the Freelancer (hereinafter referred to as "the Work" in the following section.), and shall mention all prescribed fields such as request title, category, description, deadline (select from the following options : after 1 to 7 days, after 14 days, after 21 days, others), Options or no Options, amount of Prize Incentives (minimum of ¥100), total amount of Participation Incentives (minimum of ¥100) and number of adoptions etc., and shall place an order request to Our Company. Excluding the cases where there is a breach of the Terms of Use in the contents of order request, when a order request has been received, Our Company sends notification to the client to specify the Designated Settlement Method. With such order requests, it shall be considered, between Our Company and the Client, that an intra-member contract has been made and that an agreement for Remuneration payment management for such intra-member transaction has been established.
(3) When the Client receives notification for specification of the Designated Settlement Method mentioned in the preceding paragraph, the total of Prize Incentives and Participation Incentives must be paid by one of the Designated Settlement Methods as Escrow Payment (hereinafter referred as "Escrow Payment" in the following section) with the amount of Option Usage Fee. The bank transfer fees for Escrow Payment shall be borne by the Client. The Escrow Payment amount shall not bear interest.
(4) Upon receiving the Escrow Payment mentioned in the preceding paragraph, Our Company will inform the Client of its receipt, and the request for Work will be disclosed to the Freelancer on the Site as effective, excluding the cases where there is a breach of the Terms of Use in the contents of order request. At the same time, Our Company receives the amount of Option Usage Fee.
(5) The Freelancer who intends to receive the Work shall propose Work deliverables for the Work using the prescribed Work application form on the Site within the deadline. With the proposal of Work deliverables, it shall be considered, between Our Company and the Freelancer, that an intra-member contract has been made and that an agreement for Remuneration payment management for such intra-member transaction has been established.
(6) When not even one Work deliverable has been proposed from a Freelancer for the Work, the Client can cancel the Work Request at any time. In addition, when not even one Work deliverable has been proposed from a Freelancer for the Work Request even after the deadline, the Work Request will be automatically canceled.In this case, our company will return the entire escrow amount, but not the bank commission fee, back to the client.
(7) After the Work Request has been disclosed, the Client can negotiate the contents of Work such as a specific Freelancer, conditions for deliverables etc., using the message function on the Site. In addition, the Client can solicit applications for the Work to a specific Freelancer using the message function on the Site, after the Work Request has been disclosed.
(8) When only one proposal is entered by Freelancers within the posting deadline the Client must adopt such proposal as the winning proposal. The Client does this using the prescribed form within the Site. When this is done it is deemed that a Member's Agreement between the winning Freelancer (hereinafter "Winning Freelancer") and the Client has been made.
(9) If several Work deliverables have been proposed from the Freelancer when Participation Incentives are specified in the Work, one or more Work deliverables must be selected for payment of Participation Incentives, after the Client adopts one of the proposed Work deliverable as the winning entry. Such selection can be done by selecting Work deliverables using the prescribed form on the Site within the final delivery date. The sum of Participation Incentives for each selected Work deliverable is calculated as the total sum of Participation Incentives divided by the number of the selected Work deliverables (less than 1 yen cutting off). With this selection, it shall be considered that a Members’ Agreement has been concluded between the Client and the Freelancer (hereinafter "Participating Freelancer") who proposed the selected Work deliverable to the effect that Prize Incentives will be paid.
(10) When Members’ Agreement is concluded with the Participating Freelancer, the Client must pay Participation Incentives set forth in the Members’ Agreement to the Participating Freelancer. The payment will be done from the Escrow Payment related to the Work.
(11) If the Participating Freelancer has concluded a Members’ Agreement with and receives payment of Participation Incentives from the Client, the Participating Freelancer must pay System Usage Fee to Our Company. The payment will be made such that the System Usage Fee shall be deducted from the amount of Participation Incentives to be paid to the Participating Freelancer from Client based on the Members’ Agreement, and the remaining amount will be paid to the Participating Freelancer.
(12) When the Client does not adopt or select in accordance with paragraph 8 and 9 respectively required for the Work, Our Company notifies the Client every 3 days after the deadline, and reminds to adopt and select. When the Client does not adopt or select even after reminder for 3 times, it will be considered that the Client does not adopt nor select all the Works on the 10th day (if this day falls on a bank holiday, the next Bank Business Day) after the deadline. In this case the Client has to pay penalty that an amount divided by the number of Freelancers who have applied for the equivalent Remuneration amount (rounded down to the nearest integer) without adopting all the Work deliverables will be paid as Participation Incentives to all the Freelancers who have applied. Participation Incentives are extracted from the escrow account. The Payment Procedure of Remuneration will be applicable for the payment related to Members’ Agreement. Freelancers who received breach of contract compensation from a Client must pay System Usage Fees to Our Company. Such fees are extracted from the penalty amount paid by the Client and the balance is then sent to the Freelancer.
(13) The Work deliverables of contents set forth in the Members’ Agreement must be delivered to the Client within 7 days after deadline. When the winning Freelancer does not deliver even one Work deliverable of contents set forth in the Members’ Agreement within 7 days after deadline, the Freelancer acknowledges that the Client has the right to terminate the Members’ Agreement. When the Members’ Agreement is canceled in accordance with this paragraph, Our Company will refund the Fixed Remuneration received in advance to the Client. In this case, the winning Freelancer cannot evaluate the Client. When the Members’ Agreement is canceled in accordance with this paragraph, it does not preclude the Client from taking separate compensation for damages from the winning Freelancer.
(14) When the Client receives the Work deliverables from the winning Freelancer, the acceptance validation for these deliverables must be done by the 10th day after receiving deliverables from Freelancer (hereinafter "Final Inspection Date") as set forth in the Members’ Agreement, and the results of acceptance validation (pass/fail) must be notified to the winning Freelancer. Such notices can be given by notification of results (pass/fail) of acceptance validation using the prescribed form on the Site within the final delivery date.
(15) If the Work deliverables of the winning Freelancer passed the acceptance validation, the Client must pay the Remuneration set forth in the Members’ Agreement. The payment will be done from the Escrow Payment related to the Work. The payment will be made in accordance with the Payment Procedure of Remuneration.
(16) If the winning Freelancer passed the acceptance validation of Work deliverables and receives payment of Remuneration from the Client, the winning Freelancer must pay System Usage Fee to the Client. The payment will be made such that the System Usage Fee shall be deducted from the Remuneration to be paid to the winning Freelancer from Client based on the Members’ Agreement, and the remaining amount will be paid to the winning Freelancer.
(17) If the Work deliverables of the winning Freelancer failed the acceptance validation, Our Company will not settle the Escrow Payment until notification of another acceptance validation or notification of cancellation of Members’ Agreement by mutual agreement from Client and winning Freelancer has been received. If the Client notifies Our Company that they will re-inspect the Work deliverables then the Freelancer has 7 days to deliver a new product. Such deliverables shall subject to Article 13 of this section.
(18) When the Client does not give notification of the results (pass/fail) of acceptance validation within the final inspection date, Our Company notifies the Client every 3 days after the final inspection date, and reminds for notification of the results (pass/fail) of acceptance validation. When the Client does not give notice of the results even after reminder for 3 times, it will be considered that the deliverables have passed the acceptance validation on the 10th day (if this day falls on a bank holiday, the next Bank Business Day) after the final inspection date.
(19) The Client and Freelancer can cancel the Members’ Agreement by mutual agreement until the acceptance validation is completed. In this case, Our Company will refund the Fixed Remuneration amount from the Escrow Payment to the Client. The refund will be made based on the Payment Procedures of Remuneration with the day of cancellation as date of occurrence of event. The bank transfer charges at the time of refund will be borne by the Client.When the Members’ Agreement is canceled in accordance with this paragraph, it does not preclude the Client from taking separate compensation for damages from the Freelancer.
(20) If the Winning Freelancer or Client does not communicate through the Services provided by the Site, Our Company can at its own discretion dissolve the Member's Agreement. Both Client and winning Freelancer shall acknowledge and agree to this. If the Member's Agreement is dissolved subject to this Article, Our Company will return the escrow to the Client. Our Company cannot prevent the Client from seeking damage compensation from the winning Freelancer.
(21) If payment of Prize Incentives and Participation Incentives from the Escrow is pending in whole or in part after the Work Request is canceled, Member's Transaction is canceled, or payment has been made for all the Members’ Transactions, Our Company will refund the amount to the Client. The refund will be made based on the Payment Procedures of Remuneration with the day of cancellation as date of occurrence of event. The bank transfer charges at the time of refund will be borne by the Client.
(22) When Members’ Transactions have been completed, the Client and the Freelancer must evaluate the other party by the predetermined method in regard to the Members’ Transaction using the prescribed form on the Site. The Client and the Freelancer acknowledge that the evaluation of each party will be disclosed on a predetermined page on the Site.

Section 12 Options

(1) The Client can select and add "Attention" in Work Request. If "Attention" Option has been added in the Work Request, Our Company will disclose the prescribed measures by which the Freelancer can clearly distinguish "Attention" Work Requests. The rates for "Attention" Option shall be 3,000 yen (not including consumption tax).
(2) The Client can select and add "Urgent" in the Work Request. If "Urgent" Option has been added in the Work Request, Our Company will disclose the prescribed measures by which the Freelancer can clearly distinguish "Urgent" Work Requests. The rates for "Urgent" Option shall be 7,000 yen (not including consumption tax).
(3) The Client can select and add "Undisclosed" Option in Work Request. If "Undisclosed" Option has been added in Work Request, Our Company will disclose the prescribed measures in which only Members can access the Work Requests. The rates for "Undisclosed" Option shall be 7,000 yen (not including consumption tax).

Section 13 Freelancer Points

(1) Our Company grants Freelancer points to Freelancers by comparing the payment for Members’ Transaction with the Remuneration amount. More about granting Freelancer points can be found in a separate part of this website.
(2) The Freelancer can use the payment of consideration in whole or in part for the Services specified by Our Company such as advertising on the Site etc. More about using Freelancer points can be found in a separate part of this website.
(3) The Freelancer points will cease to exist in the second year from the day of granting points. Our Company reserves the right to terminate the use of Freelancer points at its discretion.

Section 14 Payment Procedures of Remuneration

(1) Based on the Terms of Use, the payment made by Our Company to the Members can be done through: (i) remittances from financial institutions specified by Our Company to the account under the name of the Member; (ii) PayPal (PayPal Pte., Ltd. or Japan PayPal settlement service); (iii) Payoneer Inc. (Payoneer Japan settlement service), or (iv) other settlement methods that Our Company approves. In the case of (i) the Member must specify to Our Company a bank account in a financial institution, under the name of the Member, as a designated bank account such that remittances can be done from the financial institution specified by Our Company. In the case of (ii) the Member must have a valid PayPal account. In the case of (iii) the Member must have a valid Payoneer account and designate a financial institution account. Our Company shall not assume any responsibility for the losses and expenses incurred by the Member for non-payment by Our Company when the Member does not specify such an account.
(2) The unpaid Balance of all payments that should be made by Our Company to Members including but not limited to Fixed Remuneration, Prize Incentives, Participation Incentives, and penalties shall be displayed at any time.
(3) At any time Members can make an order of repayment (repayment order) of Balance to Our Company to them. We refer to this as “Balance check”. The Member can make a repayment order based on the current amount of the Balance. However, a Balance of less than Yen 5,000 cannot payout.
(4) The payment shall be made by Our Company to the Member with a deadline at midnight on the 15th of every month, total amount such as Remuneration to be paid to the Members within the time limit shall be calculated, and the amount shall be transferred to the account of Member on the last day of the month following the deadline (preceding Bank Business Day, if the last day falls on a bank holiday). All the bank transfer charges will be borne by the Member.
(5) Regardless of article 2 above, and repayment order by a Member, the company can at its discretion send funds to the Members account.
(6) All of the bank transfer charges for making payment to Our Company will be borne by the Member.
(7) In case of any event listed in the following items for the Members’ Transaction, the payment services for the Members’ Transaction shall be terminated, and a full refund of Escrow Payment shall be made to the Client, regardless of the provisions in the Terms of Use. The bank transfer charges at the time of refund will be borne by the Client.
1. When Members’ Transaction is canceled by mutual agreement between both parties and Our Company confirms the cancelation by both parties;
2. When Our Company checks with both parties of the Member's Transaction by the information from a party of the Member's Transaction, and Our Company recognized that there is a conflict in understanding among the parties on whether fulfillment of the obligation was in accordance with the purpose;
3. When the state of no-communication continues for more than a week despite Our Company or either party to Members’ Transaction contacting the other party through normal means of contact in the Service, after the conclusion of Members’ Agreement
4. When Our Company determines that it is inappropriate for Our Company to withhold the Escrow Payments
(8) It is prohibited for Members to give and receive the Remuneration for Members’ Transaction. When the Member directly gives or receives Remuneration for Members’ Transaction, the Member shall pay an amount greater of the Service Usage Fee equivalent or 1 million yen (consider 1 million yen, if the Service Usage Fee equivalent to Remuneration for Members’ Transaction cannot be calculated) as penalty towards Remuneration for Members’ Transaction.
(9) When payment is made or amount is refunded based on this section, Our Company does not assume any responsibility thereafter for the payment of Remuneration among the parties.

Section 15 Confidentiality

(1) The Confidential Information of the Services between Our Company and Members or Members’ Transaction (in this section referred to as "Service") is the information to be disclosed directly or indirectly by Our Company or Members (hereinafter, the person disclosing of Confidential Information is referred to as "Disclosing Party") to the other party (hereinafter, the person receiving disclosure of Confidential Information is referred to as "Receiving Party") for the Services, and corresponds to the following items.
1. Information disclosed in writing, electromagnetic recording medium or other tangible medias, which Disclosing Party displays that the information disclosed is Confidential Informationon the media at the time of disclosing the information.
2. Information disclosed orally or by means other than those in preceding paragraphs, and the Disclosing Party specifies that the information is confidential at the time of disclosure, and furnishes written, electromagnetic recording medium or other tangible medias within 30 days of disclosure which indicates the outline of disclosed information and that the information disclosed is confidential.
(2) Notwithstanding the preceding paragraphs, the following types of information shall not be treated as Confidential Information.
1. any information that is already known to public or is publicly available at the time of disclosure.
2. any information that becomes publicly known or publicly available after the disclosure without any fault of the Receiving Party.
3. any information that can be proved to have been known by the Receiving Party at the time of disclosure.
4. any information that can be proved to have been developed independently by the Receiving Party without using Confidential Information.
5. any information that is duly obtained by the Receiving Party from a third party under no confidentiality obligation regardless of before or after disclosure.
(3) The Receiving Party must strictly manage Confidential Information of the Disclosing Party by appointing a manager and restricting people having access to the information.
(4) The Receiving Party can use Confidential Information of the Disclosing Party only for purposes of this agreement, and shall not use for any other purposes.
(5) The Receiving Party must not disclose the Confidential Information of the Disclosing Party to third parties without the prior written consent of the Disclosing Party. However, even in cases where prior written consent of the Disclosing Party has been obtained, and in the event of disclosing Confidential Information to third parties, the Receiving Party shall take necessary measures to prevent the leakage of Confidential Information such as imposing an obligation of confidentiality on such third parties in the same manner as set forth in this agreement.
(6) Notwithstanding the provisions of the preceding paragraph, the Receiving Party will be able to disclose Confidential Information of the Disclosing Party in the following cases.
1. Disclosing information to employees, lawyers, accountants and other specialists of the Receiving Party after placing an obligation of confidentiality identical as prescribed in this agreement.
2. Disclose as much as required on the basis of legitimate laws and regulations for the court, administrative authorities, other public institutions, and financial instruments exchange etc. However, in this case, maximum efforts must be taken for disclosure of minimum necessary as well as notify the same to the Disclosing Party.
(7) In case of a request from the Disclosing Party upon termination of the agreement, the Receiving Party must return the original and duplicate medias of Confidential Information according to the instructions of the Disclosing Party, or must notify the Disclosing Party after destroying the information.
(8) In the event of failure to comply with the obligations set forth in this section, the Receiving Party must compensate for the damages caused to the Disclosing Party occurred in the normal range to the Disclosing Party.
(9) This section shall remain effective even after the termination of the Services.

Section 16 Personal Information Management

(1) Our Company shall manage the registered information or other personal informations in accordance with the "Privacy Policy".
(2) When a Member obtains the personal information of other Members, the Member shall manage such personal information in accordance with the "Privacy Policy" separately provided by Our Company. Our Company does not assume any responsibility for the management of personal information of other Members by a Member.

Section 17 Notification

(1) Communication made by Our Company to Members or the communication among Members will be done by e-mail to the e-mail addresses mentioned in the registered information or by post to the address mentioned in the Member Registered Information. Communications sent by e-mail, excluding the case when rejected by mail servers, shall be considered as reached the other party at the same time when e-mail was sent. Communications sent by post should have normally been delivered, and shall be considered as reached the other party at the same time when post was sent. It should be sufficient for Our Company to send communications to the address mentioned in the registered information, and Our Company does not assume any responsibility for non-arrival of communication due to incorrect registered information.
(2) Communication made by the Members to Our Company shall be via e-mail to the following address.

Section 18 Prohibitions

Users MUST NOT engage in any of the following prohibited provisions. Examples of unacceptable jobs are described in our Work Request guidelines.
(1) Infringe or take any act which may infringe of intellectual property rights such as trademark rights, copyrights of Our Company, other Users or third parties.
(2) Infringe or take any action which may infringe on properties, privacy or portrait rights of other Users or third parties.
(3) Provide personally identifiable information such as name, address, phone number, e-mail address of particular individuals to third parties.
(4) Register multiple e-mail addresses of one User and register as a Member redundantly.
(5) Register as a Member in place of a person whose Membership was discontinued or disabled.
(6) mentally abuse or discriminate other Users or third parties, or defame/tarnish the honor or trust of another person
(7) Make unlawful access, attempt to make unlawful access, make unlawful damage attempt to make unlawful damage, insert malicious or harmful code, attempt to insert unlawful or malicious code, or access the Service and alter or delete, or attempt to alter or delete Members data.
(8) Impersonate another person or Our Company (including tampering e-mail header portions to commit fraud)
(9) Send harmful computer programs or leave in a state receivable by others.
(10) Send unauthorized messages or electronic e-mails (hereinafter referred to as e-mails. Or includes repulsive e-mails) such as advertising, publicity, solicitation etc. Obstruct receiving e-mails from others. Request transfer of chain mails and subsequent forwards of such requests
(11) Access facilities of another person or facilities for the Service (communication equipment, electronic computer, other devices and software arranged to provide the Services by Our Company, hereinafter the same) without authorization, or impact the usage or operations by sending mass mails, DOS attacks or port scan.
(12) Distribute information, devices, software etc., to avoid or cancel access control functions of server etc.
(13) Obtain Member Registration Information of other persons without obtaining their consent, or by fraudulent means (including so-called phishing and similar means).
(14) Perform business operations using the Service, use the Service for the purpose of profit, or use the Service for its preparation, except when prior written approval has been obtained.
(15) Use the Service without fulfilling proceedings, when submission to regulatory authorities must be done in accordance with the laws, and mandates procedures to obtain approval etc. Must not perform other acts that violate or likely to violate the laws and regulations.
(16) Interfere with the administration of the Service.
(17) Conduct intra-member transactions outside of the Service.
(18) Attempts to use this site as a means for introducing work with the aim of fulfilling an employment contract between Users.
(19) Obstruct exchange or sharing of information led by other Users or third parties.
(20) Create disadvantage to Our Company, Users or other persons such as damage of trust or infringement of property rights.
(21) Make phone calls for a long period of time, excessive repetition of similar enquiries, or force without reason or obligation, and interfere significantly in the business of Our Company.
(22) Request to post on a review site, blog or SNS description that provide misleading information as superior or more beneficial than the actual product or service.
(23) Request for Work or start Work before Escrow Payment is made.
(24) Propose deliverables that are clearly distinct from the request made by Client, or propose deliverables created for purposes other than request.
(25) Use proposals of interested parties by Client himself or under own influence in a Competition-Type Transaction.
(26) Violate the laws or the Terms of Use, in addition to the aforementioned items.
(27) Breach public policy (including transmission or display of brutal images and information that are likely to induce or encourage violence), abuse.
(28) Put links on other sites with the purpose of promoting acts (including cases where another person performs these acts) falling under any of the aforementioned items.
(29) Perform acts that Our Company determines as inappropriate for Users.

Section 19 Dealing with Violations

(1) If Our Company determines that the acts of the User are contrary to the Terms of Use, then Our Company may take the necessary measures at its own discretion such as suspend the Service, cancel Membership, deny access to the Service, delete, change or restrict disclosure of information posted such as profile etc. or posts in online bulletin in whole or in part.
(2) We do not accept any queries or complaints related to the actions of Our Company based on the preceding article. Our Company does not assume any responsibility for any losses incurred by the said measures to the User on the basis of action of Our Company in the preceding article.
(3) When acts such as violation of the Terms of Use etc., of User cause damage to Our Company (including the case where damage is caused to a third party, and Our Company has compensated for the damage), the User shall be held liable to compensate for all such damages.

Section 20 Exclusion of Anti-Social Forces

(1) The Members warrant that he/she, officers or other employees do not have any relationship with anti-social forces, and do not fall into any one of the following, now or in the future.
1. organized crime group
2. any member of organized crime group
3. any person quitting a member of organized crime group but five (5) years has not passed since then.
4. any person that acts or behave by making use of the influence of organized crime group
5. any company known to have ties with the organized crime group
6. corporate racketeers, political racketeering organization etc.,
7. any other persons, group, or organizations in association with the above.
(2)The Members warrant that he/she does not have any relationship with antisocial forces mentioned in the preceding articleor those who are in closely related to the anti-social forces, and do not fall into any one of the following, now or in the future.
1. Relationship of dominating by anti-social forces
2. Relationship in which anti-social forces are substantially involved in management
3. Relationship in which funds are provided to anti-social forces or extend facilities
4. Other socially stigmatizing relationship with anti-social forces
(3) The Members warrant that he/she or third parties have not committed any of the following acts.
1. an act of making violent demands
2. an act of making unreasonable demands beyond the legal responsibility
3. an act of threatening behavior with respect to trade or an act of violence
4. An act of interfering with the business by spreading rumors, and damaging the credits of other party using power or fraudulent means.
5. Any other act corresponding to the above items
(4) If it is determined by Our Company that investigation is required for appropriate judgment of preceding three paragraphs, the Member must cooperate in the investigation and must submit the materials determined as necessary.
(5) If it is determined by Our Company that the Member belongs to anti-social forces, Membership of the person can be canceled immediately without any notification or fulfillment of obligation to Our Company.
(6) If it is determined that the Member belongs to anti-social forces, Our Company can report the said facts to police and other agencies. The Member shall be exempted from the obligation of confidentiality of such reports.

Section 21 Interruption or Termination of the Services

(1) Our Company may terminate the Site and the Services by notifying the Members by e-mail and by giving prior notice of one month.
(2) When Our Company determines that providing the Services is difficult due to system failure and maintenance, natural disasters such as fire or power failures, or for technical or operational reasons, the Site and the Services may be terminated immediately without prior notice.
(3) Even when the Site and the Services have been terminated, the Member's Agreement which has already concluded remains effective. The Members who are a party to the Members’ Agreement must perform the obligations of Members’ Agreement.

Section 22 Disclaimer

(1) Our Company shall assume no responsibility for any losses or damages incurred by the User for using the Service, such as any losses or damages occurred by cancellation of Member registration, divulging ID and password of Users to third parties, disclosure of Confidential Information by Users, system failure, disruption or interruption of the Services, data loss or leak etc.
(2) If a User inflicts damages on a third party through the use of the Services, the User shall indemnify the losses at their own cost and responsibility, and Our Company shall not be held liable for any damages or losses.
(3) Our Company shall not assume any responsibility for any damages or losses as a result of transactions that are not intended to be manage transactions between those undertaking and placing orders for the Service.
(4) Our Company shall assume no responsibility for any losses or damages incurred by the User even if User's computer hardware or software is destroyed incurred from computer viruses etc. by User's uses, browsing, and downloading documents, images, graphics, audio etc. (including but not limited to attached files offered by Freelancers or Clients).
(5) If the messages and files exchanged on the Service contain personal information, Our Company does not assume responsibility for any damages or losses incurred by the Member as a result of those exchanges.
(6) Our Company does not guarantee the identity of Members, and does not guarantee to complete transactions by Freelancers or Clients.
(7) Our Company may, at our discretion as far as it is necessary for the continuous offer of the smooth administration of the Site or the Service, change, modify or remove any images, text, programs etc., created, registered, provided or posted by the Members on the Service, such as deliverables proposed by Members in Competitive-Type Transaction, text, programs, images etc. posted by the Members in profile, portfolio or online bulletin, , and does not assume any responsibility for any losses or damages resulting from the event.

Section 23 Governing Law

The Terms of Use shall be governed and construed in accordance with the laws of Japan.

Section 24 Language

(1)The Terms of Use shall be provided in Japanese. Our Company may provide a reference translation in a language other than Japanese for the convenience of Users, and in the event that any inconsistency exists between the other language and the Japanese version, the terms in Japanese will take precedence. Our Company shall assume no responsibility for any losses or damages incurred by the User for relying on a reference translation in a language other than Japanese.
(2)The Site and the Service shall be provided in Japanese. Our Company may provide a reference translation in a language other than Japanese for the convenience of Users, but not guarantee accuracy of a reference translation. Our Company shall assume no responsibility for any losses or damages incurred by the User for relying a reference translation in a language other than Japanese.

Section 25 Jurisdiction

Any legal dispute between Members and Our Company shall first be addressed by the Tokyo District Court (or Tokyo Summary Court) which has been designated as the legal ruling body.
