a) Review of all documents, papers, accounts, agreements to assess the eligibility and appropriate mode of the issue.
b) Analyze and decide the appropriate size of capital & structuring them to optimize benefit to the issuer.
c) Examine and independently verify all relevant documents and materials, as furnished by the company, and also to discuss with the Directors, Officers, and other agencies of the company to ensure true, fair, and adequate material disclosure in the Capital Raising, Public Issue, and Rights Issue as required by the management and Bangladesh Securities and Exchange Commission.
d) Verify the compliance of all legal requirements relating to the Capital Raising, Public Issue, and Rights Issue as per rules and regulations.
e) Analyze the business of the company, industry cycle, and the future growth potential of the company based on information provided by the company, market, and related sources.
f) Assist in designing the appropriate Financial Statements, documents, papers etc.
g) Compliance of ‘Securities and Exchange Commission (Capital Issue) Rules 2001’; ‘Bangladesh Securities and Exchange Commission (Public Issue) Rules 2015’; ‘Securities and Exchange Commission (Rights Issue) Rules 2006’; the Companies Act 1994; Securities and Exchange Ordinance 1969, BSEC Acts, and other relevant rules, regulations, practices, directives, and guidelines, as are in force for the time being and applicable to the Company.
